The mediator does not decide who is right. The mediator helps both sides test their positions and look for terms they can both accept. Before suit, a mediation requirement usually comes from the contract itself. This guide explains how mediation works in a Florida business contract dispute, when it is required, and what stays confidential. Ayala Law PA focuses on business litigation, including commercial and contract disputes, shareholder disputes, construction, real estate, and international trade matters.

What Pre-Suit Mediation Means in a Florida Business Contract Dispute

Pre-suit mediation is a settlement meeting held before a lawsuit is filed. A neutral mediator runs the session, and both sides decide whether to settle. The mediator does not act as a judge. The mediator’s job is to help each side identify its real concerns, explore options, and reach terms both can accept.

Mediation can be voluntary or required. If both sides agree to meet, the mediation is voluntary. If the contract says the parties must mediate before filing, the clause makes it required. Either way, the parties write the terms of any deal. A court does not impose them.

If no agreement is reached, the dispute is not over. The parties may still go to court or to arbitration, based on what their contract provides. A signed settlement agreement is different from the talks themselves. It is a written deal, and mediation confidentiality does not protect it, as explained below.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Is Pre-Suit Mediation Mandatory in Commercial Disputes?

Usually, the contract decides. Before a lawsuit exists, a mediation requirement generally comes from a clause in the agreement. Florida’s court-ordered mediation statute applies to civil actions that have already been filed, as discussed in the next section.

A contract may require written notice of the dispute, a meeting within a set period, and mediation before either side files. The clause usually lists these steps in order. It may also name a location or a mediation provider.

Skipping a required step can hurt your position. The other side may point to the missed step to challenge or delay your lawsuit. That is why the wording matters. Before you send a demand or notice of breach, read the notice clause. Confirm how notice must be delivered, when it must be sent, and whether mediation must come before or after it.

How Court-Ordered Mediation Works in Florida Circuit and County Courts

Once a civil action for money damages is filed, a party can ask the court to send it to mediation. The court must refer the case on that request if the requesting party can pay, or if the costs can be divided fairly between the parties.

The statute also says the mediation follows rules of practice and procedure adopted by the Florida Supreme Court. Fla. Stat. § 44.102

Can a judge order mediation in a Florida business lawsuit?

Yes. A court may refer all or part of a filed civil action to mediation even when the statute does not require it. Fla. Stat. § 44.102

Timing matters once a case is referred. The response periods for settlement offers under § 45.061 and for offers or demands for judgment under § 768.79 are paused until the mediator declares an impasse or reports that no agreement was reached. Calendar the referral and the mediator’s report. Do not let an offer deadline pass without a plan.

How the Mediator Is Chosen and Paid

In court-ordered cases, the chief judge of each circuit keeps a list of certified mediators who have registered for appointment there. Fla. Stat. § 44.102 Volunteer mediators are appointed whenever possible. Other mediators are paid under rules the Supreme Court adopts. Fla. Stat. § 44.102

When a mediation program is funded, the county or the parties may pay the mediator. In a pre-suit mediation, the parties can agree on a mediator together, since no court list applies.

Mediator fees depend on the mediator’s rate, the length of the session, and the number of parties. Ask for the total in writing before the session. Your own legal fees for preparing for mediation are separate from the mediator’s fee. Ayala Law PA explains its fees for reviewing a matter when you contact the firm.

Is What You Say at Mediation Confidential?

Yes, for most of what is said in the session. All mediation communications are confidential. A participant may not disclose them to anyone except another participant or a participant’s counsel. [Fla. Stat. § 44.405(2)] A mediation party also has a privilege to refuse to disclose, and to prevent others from disclosing, mediation communications in a later proceeding. Fla. Stat. § 44.403 The protection can also reach statements made prior to mediation if they were made in furtherance of a mediation.

What isn’t protected by mediation confidentiality?

A signed written settlement agreement is not protected, unless the parties agree otherwise. Other exceptions include communications used to plan or commit a crime and communications offered to void or reform a settlement. [Fla. Stat. § 44.405] Information that is otherwise discoverable does not become protected just because it was used in mediation.

Practical habits help. Keep statements to the facts. Avoid written admissions outside the process. Do not promise terms until a signed agreement exists. Review your position with counsel before the session so your statements match your legal position.

Is Mediation Better Than Going to Court First?

Mediation lets the parties keep control of the outcome. It can also be a private setting for talks, which some business owners prefer. It is not the right first step in every dispute.

The trade-off is that a mediated deal may not resolve every claim. If no agreement is reached, the case still moves forward. Florida’s offer rules can add pressure. A written offer of settlement stays open for 45 days unless withdrawn, and an offer not accepted in that time is deemed rejected.

In an offer of judgment, a defendant’s offer that is not accepted within 30 days can shift costs and attorney’s fees. This applies if the judgment is at least 25 percent less than the offer. A plaintiff’s demand can work the same way if the judgment is at least 25 percent greater.

Some claims have filing deadlines set by statute. Check any deadline before you schedule mediation. Waiting for a session can leave you with less time to file. If you need a court order to protect assets, that step may come first.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

When a Mediation or Arbitration Clause Changes the Path

A mediation or arbitration clause sets the first steps, and the order matters. Florida law makes a written agreement to arbitrate an existing or future controversy valid, enforceable, and irrevocable. The exception is a ground that exists in law or equity for revoking a contract.

An arbitrator decides whether a condition before arbitration has been met. That can include a required mediation step. If the other side refuses to arbitrate, a party can move to compel arbitration. The court must order arbitration unless there is no enforceable agreement. The court also may not refuse to order arbitration because the claim lacks merit.

Contracts often name a provider, such as the American Arbitration Association or JAMS. Once the clause is used, the arbitration provider’s rules often control procedure, fees, and timing.

Construction, lease, shareholder, real estate, and international trade contracts often include these clauses. The wording of your clause controls the first step.

Talk With Ayala Law PA About Whether Mediation Fits Your Dispute

If your business has a demand letter, a signed contract with a mediation or arbitration clause, or a dispute that needs written notice first, the next step matters.
