Most of these disputes center on money, control of a company or whether someone kept a promise. They are usually not personal injury cases.

The practice covers several related areas. These include commercial litigation, contract disputes, shareholder and partnership disputes, construction litigation, real estate litigation and international trade litigation. Each area has its own rules, but they share a common pattern. One side claims the other broke a duty, and a neutral decision-maker sorts it out.

If you want a closer look at the definition, read what counts as business litigation and what a business litigation lawyer handles.

Commercial Litigation and Business Lawsuits

Commercial litigation covers disputes that grow out of everyday business dealings. A customer who won’t pay an invoice, a vendor who ships the wrong goods or a supplier who backs out of a deal can all lead to a lawsuit. These cases often start with a letter and a demand for payment.

Two claims come up often. Breach of contract means one party did not do what the agreement required. Fraud claims focus on false statements or hidden facts, and the proof turns on what each side knew and did.

Florida sets time limits for both kinds of claims. For fraud, the period runs from when the facts were discovered or should have been discovered with due diligence. The action must still begin within 12 years after the fraud was committed, under Fla. Stat. § 95.031. Other time limits for filing suit appear in Fla. Stat. § 95.11.

For more on these claims, see what counts as fraud in Florida and how a business lawsuit is defended.

Contract Disputes: When Agreements Go Wrong

A contract dispute starts when one side says the other did not do what the agreement required. Courts look first at what the written terms say, what each party promised and whether a promise was broken.

Anticipatory breach is a related issue. It happens when one party signals before the due date that it will not perform. Whether that signal qualifies turns on the contract language and the facts. Termination disputes work the same way. A party that ends a contract needs a valid basis under the contract and the law.

Contract terms cannot shorten the time to sue. Under Fla. Stat. § 95.03, a contract provision that sets a shorter period to begin an action than the statute of limitations allows is void.

Many contracts send disputes to arbitration instead of court. Under Fla. Stat. § 682.02, a written agreement to arbitrate is valid, enforceable and irrevocable, except on grounds that exist to revoke any contract. A court can also decide whether an arbitration agreement exists. Under Fla. Stat. § 682.03, a court may not refuse to order arbitration because the claim lacks merit. When arbitration is ordered, the court must stay the related court case.

Helpful reading includes the elements of breach of contract in Florida, anticipatory breach and whether an arbitration clause is enforceable.

Shareholder and Partnership Disputes

Shareholder and partnership disputes arise when co-owners disagree about control, money or access to records. These fights often start quietly, such as one owner asking for financial statements that another refuses to share.

Records access is a common starting point. A corporate shareholder who wants to inspect records must give written notice at least 5 business days ahead. A shareholder’s demand to inspect company records generally needs to be made in good faith and for a proper purpose tied to the shareholder’s interest in the business. Partners have a similar right.

LLC members have statutory rights to inspect certain company records under Fla. Stat. § 605.0410. The operating agreement can add reasonable conditions on that access.

When a company right must be enforced, an LLC member usually has to demand action first. Under Fla. Stat. § 605.0802, the managers or other members get a reasonable time, not to exceed 90 days, to act. The demand step can be skipped if it would be futile or cause irreparable injury.

Deadlocks need a plan. An operating agreement may include a deadlock sale provision. Under Fla. Stat. § 605.0702, if that provision is started before a court finds grounds for dissolution, it can resolve the deadlock instead of a court order dissolving the company. For more, see shareholder disputes in Florida, LLC operating agreement disputes and demanding company books and records.

Construction Litigation for Owners, Contractors and Subcontractors

Construction litigation covers disputes among owners, general contractors and subcontractors over payment, work quality and contract terms. These cases are common when a project stops before it is finished.

A contractor who walks off a job can leave an owner and subcontractors with unpaid bills and unfinished work. Owners also withhold payment when they believe work is defective. Subcontractors often run into pay-if-paid clauses, which make the subcontractor’s payment depend on the general contractor first being paid by the owner.

Construction liens add another layer. A lien is a claim against property for unpaid work or materials, and enforcing one can lead to a lien foreclosure lawsuit. Lien rights come with deadlines, so track them from the start. Construction contract fraud is also a recognized claim, and it can arise when a contractor misrepresents the work, costs or terms.

Licensing can matter too. The Florida Department of Business and Professional Regulation’s Construction Industry Licensing Board covers contractor licensing requirements and license verification. Related reading includes construction lien defense in Tampa, what happens when a contractor walks off a job, pay-if-paid clauses for subcontractors and construction contract fraud in Florida.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Real Estate and Commercial Lease Litigation

Real estate litigation involves disputes over commercial property. These include a sale that falls apart, a boundary conflict or a lease that one side says was broken.

Title questions can arise when ownership records are unclear or a property description does not match. Many of these disputes turn on contract performance. The key questions are what the purchase agreement or lease required and whether each side met those terms.

Owners and tenants should save every notice, payment record and written communication about the property. Those documents often show what each side agreed to and when. Helpful reading includes commercial property boundary disputes in Florida, when a commercial real estate buyer backs out and commercial lease disputes in Florida.

International Trade Litigation and Cross-Border Payment Disputes

International trade litigation covers disputes over cross-border sales, shipping and payment. Florida exporters and importers can face a foreign buyer that will not pay or a disagreement over a letter of credit, which is a bank’s commitment to pay when documents match the agreed terms.

Contract terms and documents often decide these cases. Invoices, purchase orders, shipping papers and the wording of the sales agreement all help show what each side agreed to. UNCITRAL publishes the text and status of the UN Convention on Contracts for the International Sale of Goods.

For more detail, see when a foreign buyer won’t pay a Florida exporter and cross-border payment disputes and letters of credit.

Why Would Someone Need a Business Litigation Attorney?

A business litigation attorney helps a company review its claims and defenses, track deadlines and represent it in court or arbitration. Owners often reach out after a demand letter goes unanswered, a deal falls apart or a partner stops cooperating.

Fee rules can raise the stakes. Under Fla. Stat. § 57.105, if a contract lets a party recover fees for enforcing it, the court may allow reasonable fees to the other party when that party prevails. The same section lets a party serve a sanctions motion, but it cannot be filed unless the challenged claim is not withdrawn or corrected within 21 days.

Settlement offers can also carry consequences. In a civil damages case, a defendant’s written offer of judgment that is not accepted within 30 days can shift costs and attorney’s fees if the judgment is at least 25 percent less than the offer, under Fla. Stat. § 768.79.

Related reading includes why a business needs a litigation attorney and what kind of lawyer sues a business.

Why Would a Case Go to Litigation?

A case usually goes to litigation when talks stall and one side refuses to pay or perform. A deadline can also force the decision, because waiting can cost a business its rights.

Some disputes go to a judge. Others go to arbitration because the parties agreed to it. When a valid arbitration agreement exists, Florida law generally enforces it, as Fla. Stat. § 682.02 explains.

That relief can be an order that stops a certain act until the case is decided. Whether a court grants it turns on the facts and the court’s judgment. Related reading includes temporary injunctions for businesses in Florida and choosing between arbitration and court in Florida.

How a Business Dispute Typically Moves Forward

Most business disputes begin with a review of the contract and a written demand letter. Many move through negotiation or mediation before any lawsuit is filed. Mediation is a meeting with a neutral third party who helps both sides look for a deal.

When a dispute looks serious, a litigation hold letter asks the other side to keep relevant records and messages. Preserving evidence early helps the business make its case later. See litigation hold letters for Florida businesses and when to send a business demand letter.

Time limits matter from the start. Florida’s general limits for filing suit appear in Fla. Stat. § 95.11, so a business should identify its claim and the deadline early. The Middle District of Florida local rules are published by the court for cases filed in that federal court. Timing varies by court, claim and case.
