The outcome depends on the signed paperwork, the wording of the debt and how the creditor handled the account. This page explains how these claims work, which defenses often matter and what a creditor can reach after a default. It is written for owners, LLC members and officers who received a demand letter or summons over a company loan, lease, vendor account or construction balance. This happens most often with newer or smaller companies. No law requires an LLC owner to sign one. It is a negotiated term.

Who signs matters. A promise signed in your personal name makes you a party the creditor can sue. An LLC normally shields members from company debts. Fla. Stat. § 605.0304 says a member is not personally liable for a company debt solely because of being a member. That statute addresses membership. It does not address a personal promise you sign yourself.

For the wider contract picture, read our Florida contract disputes guide.

Can Someone Who Signed a Personal Promise Be Held to a Business Loan?

A personal promise to pay another’s debt is generally enforceable only when it is in writing and signed. Florida’s statute of frauds generally requires that a special promise to answer for another person’s debt, default or miscarriage be in writing and signed by the party to be charged.

Start with the document. Look at who signed, in what capacity, for which debt, and whether the amount and terms are identified. Each answer shapes the claim.

The loan papers also decide whether the lender must first go after the company. Read that language closely before assuming who gets paid first.

Deadlines matter too. Fla. Stat. § 95.11 sets the time limits for filing suit. Florida law allows four years to bring an action on an oral or unwritten contract, while an action on a written contract must be brought within five years (s. 95.11). The type of claim and the date of default both affect the period.

What Defenses Often Matter in a Personal Promise-to-Pay Dispute?

The strongest defenses usually come from the wording of the signed document and from how the debt was handled. Which defense fits your file depends on the facts.

Signature block. A signature made for the company, with no personal line, can leave the owner outside the promise. Check how you signed.

Attorney’s fee clauses. A contract that lets a party recover fees for enforcing it can lead the court to allow fees to the other party when that party prevails. This applies to contracts entered into on or after October 1, 1988. Check whether the clause runs both ways.

Amounts and conduct. Challenge how the balance was calculated and applied. Ask whether the creditor followed the loan’s own terms before suing.

What Can a Creditor Reach After a Default?

After a judgment, a creditor can pursue certain property the owner holds. Florida’s lien and execution rules control how.

Real property. Under Fla. Stat. § 55.10, a judgment becomes a lien on real property in a county when a certified copy is recorded there, with the lienholder’s address included. For copies first recorded on or after July 1, 1994, the lien lasts an initial 10 years.

Stock and other property. Fla. Gather the signed promise, the loan or lease, any default notice and the payment history before you answer a demand.

How Should an Owner Respond to a Personal Promise-to-Pay Claim?

Review the signed papers before you pay, admit anything or move assets. Early choices shape later options.

Test the defenses first. Check the points above before any payment or written admission.

Negotiate. Options can include a settlement, a payment schedule, or a release from the personal promise in exchange for other terms. The creditor may or may not agree.

Respond on time. Missing a deadline after you are served can lead to a default judgment. Calendar the response period as soon as papers arrive.

Mediation is not automatic for debt suits. Fla. Stat. § 44.102 requires a court to refer most civil damage actions to mediation on one party’s request. It excludes actions filed for the purpose of collecting a debt.

Arbitration may apply. Under Fla. Stat. § 682.02, an arbitration agreement in a record is generally valid and enforceable. Section 2 of the federal arbitration statute provides that a written provision in a contract evidencing a transaction involving commerce to settle by arbitration a controversy arising out of that contract or transaction is valid, irrevocable and enforceable, save upon grounds that exist at law or in equity for the revocation of any contract. When a party moves to compel arbitration, Fla. Stat. § 682.03 generally requires the court to stay the lawsuit while it decides that motion.

What Happens in a Personal Promise-to-Pay Lawsuit?

Most of these cases move through a document review, an early response, an exchange of records, and then settlement, mediation or a decision. Here is the usual order.

Review. We read the signed promise, the underlying debt and any demand letter.

Early response. We answer the complaint or demand on time and raise defenses at the start.

Records exchange. Both sides share loan files, payment histories and messages.

Negotiation or mediation. Some business debt disputes end here. Mediation is not required in every debt suit.

Trial or arbitration. If the matter is not resolved, a judge or arbitrator decides it. Timing follows the court’s schedule and the defenses raised.

Why Work with Ayala Law PA on a Personal Promise-to-Pay Dispute?

Ayala Law PA focuses on business litigation, and Eduardo A.
