Maura · Published October 20, 2026

A commercial lease dispute attorney in Florida helps a business or landlord resolve a disagreement over rent, lease defaults, or who controls commercial space. Ayala Law PA focuses on business litigation, commercial litigation, and contract disputes, including commercial lease matters for businesses in Tampa, Hillsborough County, and the wider Tampa Bay area. This page explains what these disputes involve, how they usually move, and what to gather first.

What a Commercial Lease Dispute Covers in Florida

A commercial lease dispute is a disagreement between a landlord and a business tenant over rent, lease terms, defaults, or possession of the space. It can involve retail, office, industrial, and restaurant space. Property owners and tenants both bring these claims, often when rent stops or a tenant wants out early.

Florida’s commercial tenancy rules sit in Fla. Stat. § 83.001. That part applies to nonresidential tenancies and all tenancies not governed by part II of this chapter. Still, the signed lease does most of the work. Its notice, cure, and default terms decide what each side must do, and by when.

Florida also treats unpaid rent as interest-bearing. Under Fla. Stat. § 83.06, all contracts for rent bear interest from the time the rent becomes due, whether verbal or written.

If a default notice or unpaid rent has your business facing a deadline, you don't have to work through the lease alone; contact our team to book a case evaluation. Matters include:

Unpaid rent and past-due charges, including common area maintenance (CAM) charges, taxes, and insurance reconciliations

Tenant defaults, such as abandonment, unauthorized subletting, or use violations

Landlord defaults, such as failing to maintain common areas or breach of quiet enjoyment (the tenant’s right to use the space without interference)

Demand letters, default and cure notices, and the claims that follow them

Claims involving a personal guarantor who signed a separate document covering the tenant’s obligations

Security deposit disputes and holdover rent

Termination, renewal, or option disputes that have turned adversarial

Holdover is the situation where a tenant stays past the end of the lease. If a tenant refuses to give up possession at the end of the lease, Florida law lets the landlord demand double the monthly rent and recover it at the end of each month, under Fla. Stat. § 83.06.

For landlords, the central question is often whether a default is serious enough to act on, and what notice the lease requires before action. For tenants, the question is often whether a default exists at all, and how quickly a response must go out.

How a Commercial Lease Dispute Typically Proceeds

Most lease disputes move from document review to a written demand, then to negotiation. Court or arbitration comes later, only if the matter does not settle. The steps below show the usual path.

Review the file. Read the lease, amendments, notices, and payment history to find the default and any notice or cure period.

Send or answer a demand. A demand letter or default notice is often where a payment plan or cure becomes possible.

Negotiate or mediate. Put any settlement in writing so both sides know the terms.

Litigate or arbitrate if needed. Florida venue generally requires suit where the defendant resides, where the claim arose, or where the property sits, under Fla. Stat. § 47.011. That section does not apply to actions against nonresidents. A written arbitration agreement is generally enforced under Fla. Stat. § 682.02, unless a ground exists to revoke the contract.

Enforce the result. Enforce a judgment or agreed resolution, including recovery of possession where it applies.

Mediation is not automatic for every lease case. On request, Fla. Stat. § 44.102 requires referral of many filed damage actions to mediation, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties. Fla. Stat. § 44.102 reads: “(2) A court, under rules adopted by the Supreme Court: (a) Must, upon request of one party, refer to mediation any filed civil action for monetary damages, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless: 1.” It excludes landlord and tenant disputes that do not include a personal injury claim.

Florida’s offer-of-settlement statute, Fla. Stat. § 45.061, does not apply to causes of action that accrue after its effective date, so whether it applies to a given dispute depends on when the claim accrued. Under Fla. Stat. § 45.061, when a defendant rejects the plaintiff’s offer and the judgment entered is at least 25 percent greater than that offer, the rejection is presumed unreasonable, and on a motion by the offeror within 30 days after entry of judgment the court may impose an appropriate sanction on the offeree, but the section does not apply to causes of action that accrue after its effective date. Timing depends on the lease terms, the court’s calendar, and whether the other side responds.

What to Gather Before You Contact Us

Gather the signed lease, every notice, and your payment records before you reach out. These documents help identify the default and the deadlines that apply.

The complete signed lease, with amendments, exhibits, guarantor documents, and renewal letters

Default notices, demand letters, and written replies, both sent and received

A rent ledger showing payments, partial payments, and any late payments the landlord accepted

Repair requests and maintenance communications about the space

The date you first received notice of the problem

Any side deal or oral promise about rent or the space

Accepting partial payments without a written reservation of rights can complicate a later default claim. Oral side deals also cause trouble. Promissory estoppel cannot enforce an oral agreement that the statute requires in a signed writing, as the Florida Supreme Court in DK Arena held.

Florida also sets time limits for filing suit, and they differ by type of claim, as Fla. Stat. § 95.11 explains. Lease notice periods can run faster than those limits, so don’t wait.

Why Businesses in Tampa Bay Work With Ayala Law PA

Ayala Law PA handles commercial lease disputes within its business litigation practice.
