Those choices affect cost, privacy, and what you can do if you disagree with the outcome.

Many business contracts already include a dispute clause that sets the path. Find that clause first. Look for words such as “arbitration,” “mediation,” or a named venue. Florida generally enforces written arbitration agreements. Under Fla. Stat. § 682.02, an agreement in a record to arbitrate is “valid, enforceable, and irrevocable” except on grounds that exist to revoke any contract. A signed clause can carry real weight, so read it before you act.

Negotiation and Settlement Talks

Negotiation is direct discussion between the parties, with or without their lawyers, aimed at a deal both sides accept. It’s usually the first step. Many disputes start with a demand letter that states the claim and what the sender wants.

Negotiation stays in your control. Nobody else decides the outcome for you. A deal binds only when the parties sign a written agreement, such as a settlement agreement or release. Talks can also run alongside mediation or a lawsuit.

Settlement talks have a legal protection. Under Fla. Stat. § 90.408, evidence of an offer to compromise a disputed claim is inadmissible to prove liability or the value of the claim. That rule can make early talks less risky to hold.

Mediation: A Neutral Helps the Parties Decide

Mediation is a process where a neutral mediator helps the parties talk and explore settlement. The mediator doesn’t issue a ruling. The parties keep control of the outcome. A mediated deal binds only when the parties put it in writing and sign it.

Florida courts use mediation in many civil cases. Under Fla. Stat. § 44.102, a court must refer a filed civil action for money damages to mediation when one party asks. Fla. Stat. § 44.102 reads: “(2) A court, under rules adopted by the Supreme Court: (a) Must, upon request of one party, refer to mediation any filed civil action for monetary damages, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless: 1.” Exceptions apply, such as when the parties have agreed to binding arbitration. The requesting party must also be willing and able to pay the costs of the mediation, or the costs must be able to be equitably divided between the parties. Fla. Under Fla. Stat. § 44.405, a participant generally may not share mediation communications with anyone except another participant or a participant’s counsel. A signed written settlement agreement is different. It isn’t confidential unless the parties agree otherwise.

Arbitration: A Private Decision-Maker

Arbitration is a process where a neutral arbitrator or panel hears the evidence and issues a decision. It usually comes from a contract’s arbitration clause, and the decision is often binding. Florida’s arbitration rules appear in Chapter 682 of the Florida Statutes.

A court can enforce the clause. Under Fla. Stat. § 682.03, a court may not refuse to order arbitration because the claim lacks merit. When a party moves to compel arbitration, the court on just terms stays related court proceedings until it renders a final decision on the motion; if arbitration is ordered, it stays the proceedings on claims subject to arbitration, and may limit the stay to severable claims.

Review of an award is narrow. Under Fla. Stat. § 682.13, a court must vacate an award procured by corruption, fraud, or other undue means. The motion generally must be filed within 90 days after the movant receives notice of the award. A fraud-based challenge follows a different timing rule.

Arbitration is typically private. It is usually more limited than court, which can affect discovery and appeals. Florida law lists which orders in an arbitration case can be appealed.

Litigation in Florida Courts

Litigation means filing a lawsuit, where a judge or jury decides the case. It’s usually the most formal and slowest of the four paths.

A lawsuit moves through stages: a complaint, service on the other side, pleadings, discovery, motions, pretrial steps, trial, and possibly an appeal. Each stage takes time and money. Venue matters too. Under Fla. Stat. § 47.011, actions must be brought only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located; this rule does not apply to actions against nonresidents. A business operating in Florida can also be subject to Florida courts under Fla. Stat. § 48.193 for claims arising from that activity.

The firm’s practice areas include commercial and contract disputes, shareholder and partnership disputes, construction litigation such as lien foreclosure, real estate litigation, and international trade litigation. Each dispute has its own facts, so the right approach depends on the case.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Choosing a Path and Taking the Next Step

The right path depends on the facts, the contract’s dispute clause, the amount at stake, and how much the parties still need each other.
