Maura · Published October 22, 2026

A contract is void in Florida when it has no legal effect from the start. Common causes include a missing essential term, an illegal purpose, or a required writing that was never signed. A voidable contract stays in effect until a party with the right to cancel it acts on that right. This page explains what voids a contract in Florida and how the two labels differ. It is general information for Tampa Bay business owners and managers, not legal advice.

Void vs. voidable: why the difference matters

A void contract never binds anyone. A voidable contract binds both sides until the injured party cancels it.

A void deal gives neither side a solid basis to enforce it. A voidable deal gives the injured party a choice. That party can cancel the deal or keep it. If they keep it after learning the key facts, a court may treat the deal as ratified, meaning accepted despite the flaw.

The label also shapes strategy. With a void deal, the fight usually centers on what each side already gave. With a voidable deal, timing becomes the central question, so you need to decide quickly.

The answer depends on the facts. The same paperwork can look void at first glance and turn out to be voidable once the timeline is known. For the broader picture, read our guide to Florida contract disputes.

If you're holding a contract now and wonder whether it still binds your business, our team is ready to talk through the documents with you. Florida courts look for an offer, an acceptance, consideration, and enough detail on the essential terms. The Florida Supreme Court applied those basic requirements to an oral contract in St. Joe Corp. v. McIver.

In plain terms, both sides must agree to the same deal. Each side must give something of value, which is called consideration. The key terms, such as price, scope and timing, must be clear enough to enforce.

If a key term is missing, a court may find that no contract was formed. A handshake deal with no price or scope is a common example. Many disputes start with a vague document that the two sides read differently. For the wider enforceability question, see are contracts legally enforceable.

Illegal purpose and contracts against public policy

A contract that requires someone to break a statute is void and will not be enforced in Florida courts. In Taboada v. Duarte, a note repaying gambling debts was at issue. The court, quoting an earlier decision, stated that a contract which violates a provision of the constitution or a statute is void and illegal, and will not be enforced in Florida courts.

Business deals follow the same logic. If the core purpose of an agreement is something the law forbids, signing it does not make it enforceable.

A deal with a lawful title can still fail if its real obligations break the law. Mixed agreements are harder, because only one part may be illegal. Read the full document, not just the summary or the cover page.

Consent defects: fraud, duress, undue influence, and mistake

Fraud, duress, undue influence and certain mistakes usually make a contract voidable rather than automatically void.

For fraud, Florida courts look at four points. There must be a false statement of a material fact. The speaker must have known it was false. The speaker must have meant the other party to act on it. The other party must have been hurt by relying on it. See Frutafino, S.A.S. v. Dole Chile, S.A..

Ratification is the timing trap. In Flaherty v. Flaherty, the court explained that “ratification occurs when a party entitled to rescind a voidable contract fails to do so after the discovery of facts that warrant a rescission.” Courts apply this rule case by case.

Mistakes get narrower treatment. In Waterside at Boynton Homeowners’ Ass’n v. Southern Homes of Palm Beach, LLC, the court said rescission for mutual mistake of fact is available only if the mistake is mutual and the fact is of the essence of the contract. Florida courts have held that the equitable remedy of rescission is available only if the mistake is mutual and the fact is of the essence of the contract (Waterside at Boynton Homeowners’ Ass’n v. Southern Homes of Palm Beach, LLC).

Courts also refuse to enforce a term that is unconscionable, meaning unfair both in how the deal was made and in what it says. Basulto v. Hialeah Automotive requires both aspects, weighed together.

Once you learn of a defect, don’t sit on it. For what happens when the other side fails to perform, see breach of contract basics.

Writing requirements and unlicensed contractors

Some agreements are unenforceable unless they are in a signed writing. Florida’s statute of frauds, Fla. Stat. § 725.01, bars a lawsuit on several kinds of agreements unless they are in a signed writing. These include a promise to answer for the debt, default or miscarriage of another person, a contract for the sale of lands, tenements or hereditaments, a lease of them for a period longer than 1 year, and an agreement that is not to be performed within the space of 1 year from its making. The exception is when the agreement, or some note or memorandum of it, is in writing and signed by the party to be charged or by someone that party lawfully authorized.

Real estate has its own formalities.

For goods, Fla. Stat. § 672.201 requires a signed record for a contract to sell goods priced at $500 or more. Exceptions apply, such as goods that were paid for and accepted.

Construction deals raise a licensing question too. Did the contractor hold the license the work required? That question often starts a contractor or subcontractor dispute.

When a contract question becomes a dispute

If you’re asking whether a contract still binds you, the answer depends on the facts and the paperwork. Many readers are reviewing a contract they didn’t draft. Others are deciding whether to walk away from a deal already in motion, or checking one for a partner.

Time limits matter. Under Fla. Stat. § 95.03, a contract clause that sets a shorter period to sue than the statute allows is void. Florida sets those periods in Fla.
