A signature helps, but it doesn’t settle the question by itself. Courts look at how the deal was made, what each side actually agreed to, and what happened afterward.

Whether a specific agreement holds up depends on the facts. An agreement can be valid on paper and still fail in a dispute because a defense applies, a deadline passed, or the proof is thin. “Enforceable” describes whether a court can enforce a deal. “Enforced” describes what a court actually does in your case. This guide covers the core elements, writing rules, common defenses, time limits, and next steps for businesses.

If a partner or customer says a signed agreement is binding, or has stopped honoring its terms, you don't have to sort out the paperwork alone, and we can talk it through with you. The Florida Supreme Court applies these basics even to oral contracts (St. Joe Corp. v. McIver). Each piece matters in practice.

Offer and acceptance. One side proposes terms, and the other side says yes. Many disputes start with an email that said “sounds good” to the wrong version.

Mutual assent. Both sides must understand the same essential terms. Price, scope, timing, and who does what should be clear enough that a court can tell what each party owed.

A company’s signer must have authority to bind it. If they lack that authority, the deal can be challenged.

When a contract must be in writing and how e-signatures fit in

Some agreements must be in a signed writing to be enforced. Florida’s statute says no action can be brought on certain promises unless the promise, or a note of it, is in writing and signed by the party to be charged. The statute, Fla. Stat. § 725.01, provides that no action may be brought on certain agreements unless the agreement, or a note or memorandum of it, is in writing and signed by the party to be charged or by some other person lawfully authorized by that party. Among the agreements it lists are a contract for the sale of lands, a lease for a period longer than 1 year, an agreement not to be performed within the space of 1 year from the making thereof, and a special promise to answer for the debt, default or miscarriage of another person. Courts also won’t use promissory estoppel to get around that writing rule (DK Arena, Inc. v. EB Acquisitions I, LLC).

Many other oral agreements remain enforceable. The real problem is proof. Without writing, it’s harder to show what was agreed.

Florida law says an electronic signature can sign a writing and has the same force as a written signature, unless another law provides otherwise (Fla. Stat. § 668.004). The state’s electronic transaction act applies only when each party has agreed to deal electronically. That is decided from the context and the parties’ conduct (Fla. Stat. § 668.50). For deals in or affecting interstate or foreign commerce, federal law says a contract can’t be denied effect solely because an electronic signature was used (15 U.S.C. § 7001). Keep emails, texts, drafts, and signed files, because they often prove the terms.

Defenses that can make a contract unenforceable

A contract can be challenged even when it looks complete. Common defenses in business disputes include fraud, mistake, unconscionability, and illegality.

Fraud. A claim requires a false statement about a material fact, known to be false, made to get the other side to act, that caused injury to the party who relied on it (Frutafino, S.A.S. v. Dole Chile, S.A.). A promise about the future can also count if the promisor never meant to keep it.

Mistake. Rescission for mutual mistake works only if the mistake is truly mutual and concerns a fact at the essence of the deal (Waterside at Boynton Homeowners’ Ass’n). The term ‘mutual mistake of fact’ is one of law, and the equitable remedy of rescission is available only if the mistake is mutual and the fact is of the essence of the contract, as discussed in Waterside at Boynton Homeowners’ Ass’n v. Southern Homes of Palm Beach, LLC.

Delay. A party who can cancel a voidable contract may lose that right by keeping the deal after learning the facts. This is called ratification (Flaherty v. Flaherty).

Unconscionability. A court may refuse to enforce an unfair term. Florida requires both an unfair way of making the deal and unfair terms, weighed together (Basulto v. Hialeah Automotive). Florida’s sales-of-goods statute lets a court refuse enforcement, enforce the rest, or limit the unfair clause.

Illegality. A contract that violates a statute or the constitution is void, and Florida courts won’t enforce it (Taboada v. Duarte).

Time limits for enforcing a contract in Florida

Missing a filing deadline can end a claim. A claim on an oral contract generally has four years.

The clock generally starts when the last element of the claim occurs (Fla. Stat. § 95.031). A contract can’t shorten that period below the statute’s limit (Fla. Stat. § 95.03). The clock also pauses while an arbitration over the same dispute is pending (Fla. Stat. § 95.051).

Waiting also hurts your proof. Witnesses forget, records get lost, and texts get deleted. Reviewing a deadline early helps you keep the evidence you need.

What to do if a contract dispute is already underway

Start by gathering the signed agreement, drafts, amendments, invoices, payment records, and key emails and texts in one place. Keep originals, not just summaries, because exact wording matters. Then read the dispute clause.

A written agreement to arbitrate is generally valid and enforceable in Florida, and the court decides whether that agreement exists. On request of one party, a court must refer to mediation any filed civil action for monetary damages, provided the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless a listed exception applies (Fla. Stat. § 44.102).
