Maura · Published October 23, 2026

Do you need a lawyer for a business contract? Often the answer depends on how much money, time, and risk the deal carries. Short, routine agreements with clear terms often need little outside help. Longer or riskier contracts usually benefit from a lawyer’s review before you sign.

What a business contract lawyer actually does

A business contract lawyer helps at every stage of a deal. Drafting means writing terms that say what you mean. Reviewing means checking someone else’s draft for risk. Negotiating means working through price, deadlines, and liability limits. Advising on performance means answering questions while the deal runs. Litigating means taking a dispute to court or arbitration when talks fail.

Florida courts look at the basics first. A contract, even an oral one, needs an offer, an acceptance, consideration, and essential terms stated clearly enough, as the Florida Supreme Court explained in St. Joe Corp. v. McIver. The right time to get advice is before you sign, not after a dispute starts.

This page is general information, not legal advice about any particular agreement.

If a contract is on your desk or a notice just arrived, we'd welcome the chance to talk through your agreement with you. Multi-year supply, distribution, licensing, and service agreements are common examples. Watch closely for indemnity, limitation of liability, termination, and confidentiality clauses. These clauses decide who pays when something goes wrong.

Non-compete terms need a signed writing. Under Fla. Stat. § 542.335, a court won’t enforce a restrictive covenant unless the person it’s enforced against signed it in writing.

Partner and shareholder deals can blur personal and company obligations. Construction contracts raise payment terms, change orders, and lien rights. Contractor licensing also matters, and the Florida DBPR Construction Industry page publishes licensing requirements and license verification.

Cross-border deals add questions about governing law and enforcement. Florida’s Uniform Commercial Code covers sales of goods under state law.

If your contract requires arbitration, Florida law generally treats that promise as valid. Under Fla. Stat. § 682.02, an arbitration agreement contained in a record is valid, enforceable, and irrevocable, except on grounds that exist for revoking any contract.

When a template or simple agreement may be enough

A template can work for a short, low-value deal with clear terms both sides already understand. Whether one fits depends on the facts of your deal. Even then, check three clauses first: dispute resolution, governing law, and payment.

Some Florida rules can catch a simple deal off guard. Under Fla. Stat. § 95.03, a contract clause that sets a shorter time to sue than the statute allows is void.

For goods priced at $500 or more, a signed record matters.

Warning signs that a contract needs legal attention now

Act quickly when the other side stops performing, changes terms, or sends formal notice. These events can start deadlines you didn’t plan for. Watch for these signs:

The other party misses payments or asks for changes outside the written terms.

You receive a notice of breach, default, or termination.

Words about scope, deadlines, or amounts can be read two different ways.

You signed without reading every page, or new terms appeared after talks ended.

Timing matters for goods. Under Fla. Stat. § 672.607, a buyer who accepted goods must notify the seller of a breach within a reasonable time after he or she discovers or should have discovered it, or be barred from any remedy.

Essential terms still open is another warning sign. Under Florida law, an enforceable contract requires a meeting of the minds of the parties on all essential elements, and when the parties are still negotiating essential terms of an agreement, there can be no meeting of the minds, a principle Florida’s Third District Court of Appeal has restated.

Delay can also cost you the right to undo a deal. Florida courts recognize ratification, which occurs when a party entitled to rescind fails to do so after learning the facts that warrant it, as described in Flaherty v. Flaherty.

How to prepare before you speak with a lawyer

Gather these items before your first conversation:

The full signed contract, plus amendments, exhibits, purchase orders, and change orders.

Emails, texts, invoices, payment records, and meeting notes that show how the deal ran.

A short timeline of key events, along with any notices or deadlines you received.

A list of who can sign for the business and who makes the decisions.

Bring documents that help the other side, too. A lawyer needs the full picture to judge your position. Confidential communications between you and a lawyer, meaning ones not intended to be disclosed to third persons other than those helping provide the legal services or needed to transmit the communication, are generally protected under Fla. Stat. § 90.502.
