Common examples include an unpaid invoice, a broken contract, a deadlock between owners, a stalled construction payment, or a shipment dispute with a foreign buyer or seller.

This page explains those situations in plain terms. It is written for business owners and managers, and for family members or colleagues looking into a dispute for someone else. Ayala Law PA focuses on business disputes in Florida courts and arbitration, including matters for businesses in Tampa, Hillsborough County and the wider Tampa Bay area. The firm’s office is at 1646 W Snow Ave in Tampa. Eduardo A. Maura is the lawyer responsible for this page.

What a Business Litigation Attorney Does

A business litigation attorney represents a company or business owner in disputes resolved in court or in arbitration. Litigation is the formal process of making or defending a legal claim.

Many disagreements start with talks, a demand letter, or mediation. Only some turn into a filed lawsuit or an arbitration case. A good lawyer helps you understand each path before you pick one.

Ayala Law PA focuses on these areas: business litigation, commercial litigation, contract disputes, shareholder and partnership disputes, construction litigation, real estate litigation, and international trade litigation. Construction litigation covers contractor and subcontractor disputes and lien foreclosure.

If your matter falls outside these areas, it may need to go to another lawyer or firm.

If a late payment, a partner dispute or a broken contract has your business stalled, you don't have to decide the next step alone. Typical triggers include:

A customer, vendor, or supplier does not pay or perform as agreed.

A written or oral agreement is disputed over its terms.

A co-owner or manager uses company money or opportunities for personal gain.

Owners disagree over control, buyout terms, or distributions.

A general contractor, subcontractor, or supplier goes unpaid on a job.

A commercial lease or property purchase goes wrong.

A shipment or payment with a foreign party breaks down.

Florida law sets rules for some of these fights. Managers of a manager-managed LLC, and members of a member-managed LLC, owe duties of loyalty and care to the company and its members (§ 605.04091). The duty of care is limited to avoiding grossly negligent or reckless conduct, willful misconduct, and knowing violations of law (§ 605.04091). Partners have similar duties (§ 620.8404). An oral contract also needs an offer, an acceptance, consideration, and enough detail on its essential terms (St. Joe Corp. v. McIver).

Should a Business Have a Lawyer Before a Dispute Starts?

Yes, a lawyer can help before any lawsuit is filed. The most useful time is often while the contract is still being used or revised.

Contracts often include notice steps, cure periods, and dispute clauses. Following those steps in order matters. For accepted goods, Florida requires a buyer to notify the seller of a breach within a reasonable time after discovering it or when it should have been discovered, or be barred from any remedy (§ 672.607).

Some contract terms cannot shorten your time to sue. Florida law voids a contract provision that sets a shorter period to begin an action than the applicable statute allows (§ 95.03).

Arbitration clauses also matter. Florida generally treats a written agreement to arbitrate as valid and enforceable (§ 682.02). The American Arbitration Association describes arbitration as a way to resolve small-business and commercial disputes, and notes that it is binding.

Not every business matter needs a lawyer. Whether you need one depends on the facts. Many disputes end through talks before anyone files a case.

Do Business Lawyers Go to Court?

Yes, business litigation attorneys take disputes to Florida courts. They also handle arbitration when the parties agreed to it.

The path depends on the contract and the dispute. A typical sequence may include a demand letter, negotiation, mediation, arbitration, and then a filed lawsuit. Each step can resolve the matter, so a lawsuit is not always the first move.

Florida courts can send some cases to mediation. On request of one party, a court must refer a filed civil action for monetary damages to mediation, if the requesting party is willing and able to pay the costs of the mediation or the costs can be equitably divided between the parties, unless an exception applies. One exception is when the parties have agreed to binding arbitration (§ 44.102).

A lawsuit does not always mean a trial. Many cases settle or end through mediation or arbitration before trial begins.

Where a case is filed also matters. Florida law says actions shall be brought only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located, and this rule does not apply to actions against nonresidents (§ 47.011). For a Hillsborough County business, that rule can shape where a claim is heard.

What Kind of Attorney Do You Need to Sue a Business?

The right attorney depends on the type of dispute: contract, shareholder, construction, real estate, or international trade. Each type follows its own rules and documents.

A contract claim turns on the agreement’s terms and dates. A shareholder or partner fight turns on the governing agreement and the statutes for that business entity. A construction claim turns on payment rules and lien steps. A real estate dispute turns on the lease or purchase contract. An international trade dispute can turn on shipping terms, payment terms, and where the case can be heard.

Ayala Law PA focuses on business and commercial matters in Florida courts and arbitration. Those areas include contract disputes, shareholder and partnership disputes, construction litigation, real estate litigation, and international trade litigation.

Gathering a few key items early helps. Keep the contract, the key dates, records of payments made or missed, and the messages between the parties.

Why Timing Matters in a Business Dispute

Deadlines can limit a claim, so waiting carries real risk. Florida measures a limitations period from when a cause of action accrues, which is when its last element occurs (§ 95.031).

Except as provided in subsection (2) and in s. 95.051 and elsewhere in these statutes, under § 95.031, the time within which an action shall be begun under any statute of limitations runs from the time the cause of action accrues.
