Maura · Published October 24, 2026

To resolve a business dispute, most companies work through a series of steps. They gather the paperwork, read the dispute clause, talk and send a written demand, and then consider mediation, arbitration or a Florida lawsuit. Each step can narrow or widen the options that come after it.

This guide walks through that order in plain language. It covers commercial, contract, shareholder, partnership, construction and real estate disputes, plus international trade matters. Many readers are looking into a problem for a company or partner rather than one they chose. The steps below apply either way.

What a business dispute usually looks like

A business dispute is a disagreement between companies, owners or business partners over money, performance, ownership or rights under an agreement. The category matters because it shapes which rules, deadlines and courts apply.

Common categories include:

Commercial and contract disputes, such as a customer who won’t pay or a vendor who misses delivery dates.

Shareholder and partnership disputes, such as co-owners who disagree about control, money or how someone exits.

Construction disputes, including contractor and subcontractor disagreements, construction lien foreclosure and construction contract fraud.

Real estate disputes and international trade disputes, which often involve contracts across state or national lines.

Sort your dispute into its category early. That tells you which deadlines and forums might apply. It’s one of the first real decision points, and it’s easy to skip.

If a partner, vendor, contractor or landlord has put your company's money or plans at risk, we're ready to talk through your dispute and what it could mean for you. Then read the dispute clause before you contact the other side, because the contract often sets the first steps.

Pull together the contract and any amendments, purchase orders, invoices, emails, texts, meeting notes and project records. For a company, add the operating agreement or partnership agreement. Put everything in one place, with dates.

Next, read the dispute clause closely. Look for:

Required notice and where it must be sent.

Cure periods, which give the other side time to fix a problem.

Negotiation or mediation steps that must come first.

Arbitration language, governing law and venue.

Notice matters. For a Florida LLC, a notice or demand may go to a member of a member-managed LLC or a manager of a manager-managed LLC, to the registered agent at the registered office, or to an in-state address that is really the principal office. See § 605.0117.

Deadlines need attention too. § 95.11 sets different time limits for different claims, so the claim type shapes the deadline. A contract can’t shorten that clock. Under § 95.03, a contract term that sets a shorter period than the statute is void. Write down key dates now, and don’t assume the contract’s clock controls.

Try direct negotiation and a written demand

Direct talks and a written demand letter are usually the first formal steps. The goal is to clarify the claim and put it on record.

Start with a calm conversation. Confirm the facts, each side’s position and what a workable result might look like. Take notes during the call.

A demand letter should state:

The claim, in plain terms.

The contract provision you rely on.

The amount owed or the action you want.

A reasonable deadline for a response.

Keep the letter factual. Match each statement to the documents. Skip insults and guesses. A measured letter tends to keep talks open better than an angry one.

Put the deal in writing, too. An oral contract still needs an offer, acceptance, consideration and enough detail on the essential terms. See St. Joe Corp. v. McIver. If terms were agreed out loud, record them soon after, while memories are fresh.

A demand letter also creates a record. That record can matter if the dispute later goes to mediation, arbitration or court.

Mediation: how it works and what to keep in mind

Mediation is a facilitated negotiation with a neutral mediator who helps both sides look for a settlement. The mediator does not decide who wins.

Mediation is often a practical middle step. Each side explains its view, and the mediator helps test options. Florida law makes mediation talks confidential. Under § 44.405, a participant generally may not share mediation communications with anyone except another participant or a participant’s counsel. The law’s popular name is the Mediation Confidentiality and Privilege Act, per § 44.401.

Many people miss this point. Treat a signed settlement as something others may later see.

Preparation helps. Before you mediate:

Decide your bottom line in advance.

Review the facts and documents before you describe who is at fault.

Focus on business interests, such as payment timing, ongoing work or a clean exit.

Don’t overstate facts you can’t support.

If you reach a deal, write it precisely. Cover payment amounts and dates, deadlines, any release of claims and what happens if a term is broken. Vague settlements often lead to new disputes.

For cross-border matters, the American Arbitration Association describes mediation as a way to resolve cross-border commercial disputes involving international contracts and multiple jurisdictions.

Arbitration and other binding alternatives

Arbitration is a private process in which an arbitrator or panel hears the dispute and issues a decision. When the parties agreed to arbitrate in writing, that decision is generally binding.

Florida law supports these agreements. Under § 682.02, a written agreement to submit an existing or later controversy to arbitration is valid, enforceable and irrevocable. The exception is a ground that exists at law or in equity for revoking a contract. The court decides whether an arbitration agreement exists. An arbitrator decides whether a condition before arbitration has been met.

Under § 682.03, a court may not refuse arbitration because the claim lacks merit. When arbitration is ordered, the court on just terms stays any judicial proceeding that involves a claim subject to the arbitration, and may limit the stay to that claim if it is severable.

Read the wording of the clause closely, because it decides whether arbitration applies. Compare that with court in plain terms. Scheduling and procedure can differ from a lawsuit. Cross-border contracts sometimes name arbitration and a governing law, so confirm both from the contract.

When the dispute goes to a Florida court

A Florida business lawsuit starts with a complaint filed in the right county. Venue rules decide the county.

Under § 47.011, actions shall be brought only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located. This section shall not apply to actions against nonresidents. For domestic corporations, § 47.051 adds the county where the corporation has or usually keeps an office for its customary business.

After filing, the case moves through service of process, responses, discovery (exchanging documents and information), motions and pretrial steps. It ends in trial or settlement.

Settlement offers can matter in litigation, but the rules governing them are not found in Fla. Under § 95.11, a claim founded on construction of an improvement to real property generally runs from the earliest certificate of occupancy, certificate of completion or abandonment. Fla. Those are the main decision points.

Ask yourself these questions:

What does the contract require before a lawsuit, such as notice or mediation?

How soon do key deadlines run?

Does the relationship need to survive, such as with a key customer or co-owner?

How much is at stake, and how would each path affect time and cost?

Many disputes move through stages. A step taken early can narrow or widen later options. A notice sent to the wrong address, or an arbitration clause you didn’t read closely, can shape what comes next.

Write your own timeline with dates, documents and open questions.
