Maura · Published October 24, 2026

Filing a lawsuit against a business in Florida is usually the simpler part. The hard part is proving your claim, meeting deadlines, working through contract terms, and paying for the case. Collecting a judgment can take more time, too.

So how hard is it to sue a business? It depends on the type of claim, how the company is organized, and what the contract says. This guide walks through the process and the common obstacles, step by step.

How hard is it to sue a business? The short answer

Suing a business is procedurally straightforward, but it is rarely quick or easy. The difficulty comes from six places: proof, deadlines, contract terms, time, cost, and collection.

Ayala Law PA represents businesses and entrepreneurs in commercial and contract disputes, shareholder and partnership disputes, construction litigation, real estate litigation, and international trade disputes. Each of those matters carries different obstacles, so the sections below separate them.

Which obstacle matters most depends on the facts. A dispute built on a clear written contract and a paper trail often looks different from one based on a verbal promise.

If a company broke a deal with you and you're still deciding whether to sue, you don't have to sort out the process alone; call us to talk through your documents and deadlines. You need a legal claim, a defendant you can identify and locate, and a court with authority over the dispute.

The person bringing the suit files a complaint. That document names the parties, explains the claim, and states what relief is requested.

Court rules set strict formats and deadlines for every filing. A complaint with missing facts, wrong names, or a claim aimed at the wrong entity can slow a case down. Many people find these details the hardest part to handle alone.

Can an owner of an LLC be sued personally?

Usually not, simply because someone owns or runs the company. Florida law states that a company’s debt, obligation, or liability is solely the company’s. A member or manager is not personally liable just for being or acting as one (Fla. Stat. § 605.0304).

There are narrow exceptions. The first is a personal guarantee. Under Florida law, no action may be brought to hold a person to a special promise to answer for the debt, default or miscarriage of another person unless the promise, or some note or memorandum of it, is in writing and signed by the party to be charged or by someone that party has lawfully authorized.

The second exception involves the company’s separateness. In Florida, a corporate veil is pierced only on proof of improper conduct. That means the company was actually organized or used to mislead creditors or perpetrate a fraud on them (Wurtzebach v. Flooring Depot FTL, Inc.). This “showing of improper conduct” requires proof that “the corporation was actually organized or used to mislead creditors or to perpetrate a fraud upon them.” (Wurtzebach v. Flooring Depot FTL, Inc.)

The third exception is personal wrongdoing. An owner who personally commits a wrong, such as fraud, can be sued for that conduct.

Picking the right defendant is a threshold question. Naming the company, an owner, or both changes who must respond. A company debt is solely the company’s, and a member or manager is not personally liable for it solely by reason of being or acting as a member or manager, so naming an owner does not by itself make their assets reachable.

What are the steps to bring a lawsuit against a business?

Most cases follow the same path: gather evidence, review the contract, file, serve, and then litigate. Each step has its own pitfalls.

Gather and keep evidence. Collect contracts, invoices, emails, texts, photos, and company records.

Read the contract closely. Look for notice requirements, mediation steps, and arbitration clauses. Florida makes a written agreement to arbitrate valid and enforceable, except on grounds that exist to revoke a contract (Fla. Stat. § 682.02).

Send a written demand when the contract or the facts call for one.

File in the proper court and serve the company. A Florida limited liability company, or a foreign limited liability company registered to transact business in Florida, may be served with process through the registered agent it has designated.

Litigate. The company answers or moves to dismiss. Discovery then exchanges documents and testimony before resolution, trial, or arbitration.

A missed notice clause or a late demand can cause trouble even when the underlying claim is strong.

Where does the real difficulty usually come from?

The biggest hurdles are usually deadlines, proof, arbitration terms, and cost. Each one can change the outcome of the case before the merits are heard.

Deadlines come from statute. For an action on a written contract, Florida law generally allows five years, except for an action to enforce a claim against a payment bond, which follows other periods, and a deficiency judgment, which is governed by its own paragraph. An action founded on the design, planning, or construction of an improvement to real property generally must be commenced within four years. The time runs from the date the authority having jurisdiction issues a temporary certificate of occupancy, a certificate of occupancy, or a certificate of completion, or the date of abandonment of construction if not completed, whichever date is earliest. When the action involves a latent defect, the time runs from when the defect is discovered or should have been discovered with due diligence. In any event, the action must be commenced within 7 years after that earliest date.

Proof is the next hurdle. A court asks whether an oral agreement had an offer, acceptance, consideration, and sufficiently specified essential terms (St. Joe Corp. v. McIver). Many business deals are verbal or half-written, which makes that proof harder.

Mediation often comes early. On one party’s request, a court must refer a filed money-damages action to mediation, if that party can pay or the costs can be split, unless the action is, for example, a landlord and tenant dispute without a personal injury claim, filed to collect a debt, a medical malpractice claim, or governed by the Florida Small Claims Rules. Binding arbitration agreements are among the listed exceptions (Fla. Stat. § 44.102).

Cost and time add up at every stage. Plan for them before you file.

Collection is its own problem. A judgment is not the same as payment. A judgment lien on a judgment debtor’s interest in personal property in Florida that is subject to execution under s. 56.061 (excluding fixtures, money, negotiable instruments, and mortgages) is acquired by filing a judgment lien certificate with the Florida Department of State after the judgment has become final, the time to move for rehearing has lapsed, no motion for rehearing is pending, and no stay of the judgment or its enforcement is in effect, unless a court has authorized, for cause shown, an earlier filing when it has authorized a writ of execution in the same matter (Fla. Stat. § 55.202).

Small claims court versus circuit court for business disputes

Small claims court handles smaller money disputes, while circuit court handles larger or more complex claims. Many commercial, shareholder, construction, and real estate matters belong in circuit court.

Venue rules decide which county hears the case. Under Florida law, actions shall be brought only in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located; this rule does not apply to actions against nonresidents (Fla. Stat. § 47.011). Those rules point to the Tampa Bay area when the business, the contract, or the property sits there.

The right forum also depends on the amount claimed, the relief sought, and the contract terms. A clause sending disputes to arbitration can change where and how the case is heard.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

How the difficulty varies by type of business dispute

Each type of dispute raises different questions. The points that matter most shift with the matter.

Commercial and contract disputes. The agreement, the performance, and the breach are central. Where an express contract covers the same subject, a separate unjust enrichment claim generally will not succeed (Williams v. Johnson).

Shareholder and partnership disputes. Operating agreements, bylaws, and company records shape the claim. Partners are generally liable together for partnership obligations, subject to statutory exceptions (Fla. Stat. § 620.8306).

Construction litigation. Notice, timing, and lien rules drive these cases. The construction deadlines discussed above often decide whether a claim is still open.

Real estate litigation. Title, lease, and purchase terms control the dispute. The location of the property can also decide which county hears it.

International trade disputes. Cross-border contracts raise questions about which law and forum apply. The American Arbitration Association notes that mediation may be used for cross-border commercial disputes involving international contracts.

Talking with Ayala Law PA about a dispute with a business

Many people reading this are dealing with a dispute they did not choose.
