Maura · Published October 28, 2026

Yes, in most cases. Florida law generally gives an electronic signature the same effect as a handwritten one. A contract signed on a screen, through a platform, or by clicking a box can still be enforceable. The contract still needs the basic parts of any contract, and the signer must have meant to sign.

The Short Answer: Electronic Signatures Generally Carry the Same Weight as Ink in Florida

Florida law generally treats an electronic signature like a handwritten one. Under Fla. Stat. § 668.004, an electronic signature may be used to sign a writing and has the same force and effect as a written signature, unless another law says otherwise.

Under Florida’s Uniform Electronic Transaction Act, a record or signature cannot be denied legal effect only because it is electronic. A contract cannot be denied effect only because an electronic record was used to form it.

Federal law points the same way for deals that affect interstate or foreign commerce. 15 U.S.C. § 7001 says a contract or signature cannot be denied validity solely because it is electronic.

The word “generally” matters. A contract still needs an offer, acceptance, consideration, and clear terms. The Florida Supreme Court applied those basic requirements to an oral contract in St. Joe Corp. v. McIver. An e-signature changes how the parties show agreement. General information like this is not a substitute for reviewing the specific terms of your agreement with a lawyer.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

What Counts as a Legal Electronic Signature

A typed name, a scanned signature, or a click on an “I agree” button can qualify. Florida defines an electronic signature as an electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted by a person with the intent to sign that record (Fla. Stat. § 668.50).

The method matters less than intent. A signer who clicks “accept” on a vendor agreement has a stronger case than one who typed a name in an unrelated email.

The signature also must be tied to the person who made it. Florida law says an electronic signature is attributable to a person if it was that person’s act. That act can be shown in many ways, including the security steps used to confirm who signed. Login records and signing histories often serve this purpose.

The Two Conditions That Make an E-Signed Contract Hold Up

Two questions decide most disputes. First, did the signer intend to sign that specific record? Second, can the signature be traced to the right person?

Intent is shown by context. A signature block on a final agreement, sent for approval, is strong evidence. A stray typed name on a draft or an unrelated attachment is weak evidence.

Attribution often comes down to records. Keep track of who received the document, which email address or account was used, and whether anyone else had access to that login.

Retention matters too. Under federal law, when a statute, regulation, or other rule requires a contract or other record in a transaction affecting interstate or foreign commerce to be in writing, the legal effect of an electronic record of it may be denied if the record cannot be retained and accurately reproduced for later reference by all parties entitled to retain it. Save the final signed version in a form you can open and print years later.

Can You Notarize a Digital Signature in Florida?

Yes, when a document requires notarization. Florida allows online notarization using audio-video technology. An online notary physically located in Florida can perform the notarization even if the signer is elsewhere (Fla. Stat. § 117.265).

The notary must confirm the signer’s identity at the time the signature is taken. The notary must also record the two-way audio-video session (Fla. Stat. § 117.265). An online notarization is a notarial act performed by electronic means, with the signer appearing before the notary through that technology (Fla. Stat. § 117.201).

Notarization is a separate question from whether a signature counts. A missed step in the online notary process does not automatically void the notarized record. It can, however, be used as evidence of possible fraud or other problems (Fla. Stat. § 117.265).

Before signing, check whether the agreement, lender, or recording office requires notarization.

Can Emails and Text Messages Create a Binding Contract?

Sometimes. An email or text thread can contain an offer, an acceptance, and the essential terms. Florida applies the same basic contract requirements to agreements whether they are oral or written (St. Joe Corp. v. McIver).

Messages that sound preliminary are usually weaker. A question, a request for a quote, or a note that “we should discuss terms” may not show a final deal. A clear reply such as “agreed, send the signed copy” is stronger.

Context also helps. If one side said a formal signed document would follow, a court may look at whether the parties treated the deal as final before that document existed.

The exact wording and the order of messages often decide the issue. Gather the full thread, not just the screenshot that helps your position.

Promissory Notes, Platforms Like DocuSign, and Other Common Business Documents

Platforms such as DocuSign are tools for capturing a signature. Whether a particular provision is enforceable depends on the specific facts and the law that applies to the agreement. The same questions apply: intent, attribution, and retention.

Promissory notes need extra care. Federal electronic-records rules do not apply to records governed by most of the Uniform Commercial Code, other than sections 1-107 and 1-206 and Articles 2 and 2A. The same federal section also excludes court orders and official court documents required to be executed in connection with court proceedings (15 U.S.C. § 7003). Review which rules govern the note before relying on an electronic version.

The platform’s records can become important evidence. If someone challenges a signature, the platform’s audit trail may show what happened.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Evidence That Usually Decides an Electronic Signature Dispute

The strongest evidence shows who signed, what they signed, and when. In practice, these records carry the most weight:

Audit trails and completion certificates. These show who received the document, when it was opened, and when it was signed.

Email and text threads. These show the offer, the negotiation, the acceptance, and conduct after signing.

Past dealings. Earlier signed electronic agreements between the same parties show they routinely did business that way.

The final signed version and its edit history. Keep the exact file that was signed, plus drafts that show how terms changed.

Some mistakes weaken an otherwise sound agreement:

Unclear signer identity, or a signature from a shared login

Changes made to a document after it was signed

Missing signature pages

Attachments the main agreement refers to but that were never signed or sent

Disputes also often turn on clauses such as limitation of liability, force majeure, and forum selection. Review those terms alongside the signing records.

Talk With Ayala Law PA About an E-Signed Agreement in Dispute

If your business signed a vendor, subcontract, lease, or shareholder agreement electronically, and the other side now denies it, the signing records and messages matter.
