Florida law sets deadlines, notice steps and filing locations that shape what a business can do next. This guide covers contract disputes Brandon companies face, the first steps to take, and how Ayala Law PA handles these matters from its Tampa office. The steps here are general, so your own contract still needs a close review.

Contract disputes that affect Brandon businesses

Most contract disputes in Brandon start with a deal that stopped working as written. The city has a wide mix of retail shops, service companies, trade contractors and professional offices. Many of them depend on written agreements for supplies, services, payment and leases. When one side stops following the terms, the other side needs to act quickly.

The same problems come up again and again. A customer pays late or withholds payment. A contractor says the scope of work changed and refuses to finish. A supplier misses delivery dates. A business ends a contract without the notice the agreement requires. A subcontractor says it isn’t being paid. Each situation turns on what the contract says and what both sides actually did.

Clients in Riverview, Plant City and Temple Terrace face similar issues. Ayala Law PA is located at 1646 W Snow Ave in Tampa, and it serves Brandon and other Hillsborough County clients from that single office. The firm does not have an office in Brandon or anywhere else in Hillsborough County.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Types of contract claims the firm handles

Ayala Law PA focuses on business litigation, including contract claims between companies. The practice handles breach of contract claims, including nonpayment, incomplete performance and defective delivery. It also handles disputes under commercial agreements, such as supply, distribution, service and vendor contracts.

Construction litigation covers disputes between general contractors, subcontractors and property owners. That work can include lien foreclosure matters under Florida construction lien law. Real estate and lease-related contract disputes, along with international trade agreements, are also part of the practice. Each matter is reviewed on its own facts.

The practice serves businesses and business owners. It does not take on individual consumer matters, because those fall outside its business focus.

First steps to protect your position

Start by preserving every record and reviewing the contract’s notice and dispute terms. Collect the signed contract, any amendments, purchase orders, invoices, delivery receipts, emails and text messages. Keep the originals as they are. Don’t edit, delete or reorganize them.

Next, read the notice, cure and termination clauses. Many contracts require written notice and a chance to fix the problem before either side can end the deal or sue. Skipping that step can weaken your position.

Check the dispute resolution clause too. Some agreements call for arbitration, mediation or a specific venue. Under Fla. Stat. § 682.02, a written agreement to arbitrate is valid and enforceable, except on grounds that exist for revoking any contract. A party that refuses to arbitrate can face a court order to do so under Fla. Stat. § 682.03.

Finally, be careful with what you write. A heated text or an email that admits fault can be used later. Review the facts with this firm before you send a demand or end the relationship.

Deadlines that can limit your claims

Florida sets filing deadlines by statute, and a claim filed too late can be lost. For an action on a written contract, the statute generally allows five years. Claims on oral agreements follow a shorter period under the same statute.

Under Fla. Stat. § 95.03, a contract clause that shortens the limitations period is void, but for sales of goods, Fla. Stat. § 672.725(1) allows the parties to reduce the period to not less than one year. Whether a short contractual deadline is enforceable can depend on the type of agreement, so a short clause in a vendor agreement warrants a closer look.

Construction and goods claims follow their own timing. Construction claims under the limitations statute can turn on certificate of occupancy or completion dates. For goods, a buyer who accepts a delivery must notify the seller of a breach within a reasonable time after discovering it, or may be barred from a remedy, under Fla. Stat. § 672.607.

Confirm your own deadline early. Waiting can narrow your options. This page does not replace a review of your contract and records.

How a Hillsborough County contract case typically proceeds

Many contract cases start with a written demand letter, and talks often happen before anything is filed. A demand letter sets out the contract, the breach and what you want. It can open negotiations before a case is filed.

If talks fail, the case must be filed in the right place. Under Fla. Stat. § 47.011, actions are brought in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located. For a Brandon business, Hillsborough County is often the relevant county, depending on where the defendant lives and where the dispute arose. If the contract requires arbitration, that process applies instead.

Courts also encourage mediation. Under Fla. Stat. § 44.102, a court must, on one party’s request, refer a filed civil action for monetary damages to mediation, subject to listed exceptions. Actions filed to collect a debt are among those exceptions.

Settlement offers also run on a clock. Offers of settlement and offers of judgment in Florida civil actions are governed by Fla. Stat. § 768.79 and Fla. R. Civ. P. 1.442, so the deadlines and terms of any offer should be reviewed under those rules. After that, discovery lets each side exchange documents and testimony. Each case differs, and timing and results depend on the facts, the contract and the court.

Working with Ayala Law from our Tampa office

Eduardo A.
