A disputed invoice, a missed deadline, a scope disagreement, or a termination notice can turn into a formal conflict. Businesses in Tampa, Brandon, Riverview, Plant City, and Temple Terrace face these problems across many industries.

Most disputes start in ordinary business. A customer pays late. A subcontractor says the work was extra. A supplier ends a deal with a short email. Each event raises questions about who owes what, and by when.

Early action often matters. A short delay can change which options remain open, so it helps to understand the issue soon.

This page explains general principles of Florida law. It is not legal advice for your situation. The answer for any contract depends on its exact words and the facts behind it.

Ayala Law PA focuses its practice on business litigation, including commercial and contract disputes. The firm serves Hillsborough County and Tampa Bay clients from its only office, located at 1646 W Snow Ave in Tampa.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Common Types of Contract Disputes Hillsborough County Businesses Face

Breach of contract claims arise in many commercial relationships. Contract disputes often turn on what the parties agreed to and whether each side performed as promised.

Termination disputes come next. One side ends the contract, and the other side says the ending was wrong. The fight often turns on whether the contract allowed termination and whether the required notice was given in the required way.

Payment disputes are common in construction and supply chains. Owners may withhold money from general contractors. General contractors may hold back pay from subcontractors. Suppliers may chase unpaid invoices from customers who say the work was defective.

Scope and performance disputes arise when work changes without paperwork. A contractor adds work, a client agrees by phone, and no change order is signed. Months later, both sides remember the deal differently. Written records prevent many of these fights.

Is It Hard to Win a Breach of Contract Case?

No general answer can say whether a particular breach of contract case will succeed. The result depends on the contract language, the evidence, and the facts. Ayala Law PA cannot predict how any dispute will turn out.

Evidence usually decides these cases. Signed agreements, emails, text messages, change orders, invoices, delivery records, and payment history all matter. Organized records make it easier to show what happened and when.

Deadlines matter a great deal. Florida’s limitations statute, Fla. Stat. § 95.11, sets time limits for different types of claims. Some claims, such as actions for specific performance of a contract, must be commenced within one year. Florida law generally voids contract clauses that cut short the legal deadline for filing a lawsuit (Fla. Stat. § 95.03), but a contract for the sale of goods may, by the parties’ original agreement, reduce that period to as little as one year (Fla. Stat. § 672.725(1)). Under § 95.03, a contract provision that sets a shorter period than the statute allows is void.

What Can Void or Make a Contract Unenforceable in Florida?

Contract disputes often focus on how the parties formed their agreement and what each side exchanged.

Certain problems can affect whether a contract holds up. Disputes over how an agreement was reached sometimes raise questions about fraud, duress, mistake, or illegality. Each issue depends on its own facts.

Writing matters for some agreements. Florida’s statute of frauds requires certain promises to be in writing and signed. Under § 725.01, these include a promise to pay another person’s debt, a contract to sell land, a lease longer than one year, and an agreement that cannot be performed within one year. Under § 672.201, a contract for goods priced at $500 or more generally requires a signed record to be enforced, although the statute provides exceptions, including for specially manufactured goods, admissions in court, and goods that have been paid for and accepted, or received and accepted. Between merchants, a written confirmation can count unless the receiver objects within 10 days.

Electronic signatures can count too. Under § 668.004, an electronic signature can sign a writing and has the same force as a written signature, unless another law provides otherwise. The Uniform Electronic Transaction Act applies when the parties have agreed to transact electronically, and that agreement may be shown through the parties’ context and conduct rather than only by an express statement.

Construction Contract and Subcontractor Payment Disputes in Tampa Bay

Construction payment disputes involve time-sensitive steps, and timing matters for projects in the Tampa Bay area. When a subcontractor or supplier goes unpaid, lien rights and deadlines may apply.

Time limits can be short. Section 95.11 sets different time limits for different types of actions, so the applicable period depends on the claim involved. Claims about the design or construction of a building follow their own timing rules.

Review the lien rights and deadlines described above before you file or send a formal demand. If a lien or payment deadline is close, act now rather than waiting for the other side to respond.

How Contract Disputes Are Resolved in Hillsborough County

Most contract disputes are resolved through negotiation, mediation, arbitration, or a court case. The right path depends on the contract, the amount at stake, and the relationship between the parties. Direct talks and a written demand letter often come first.

Mediation is a common step. Under § 44.102, a court must refer many filed civil actions for money damages to mediation when one party asks. Exceptions include actions filed to collect a debt and cases where the parties agreed to binding arbitration.

Arbitration works differently. Under § 682.02, a written agreement to arbitrate existing or future disputes is valid and enforceable, except on grounds that exist for revoking a contract. Under § 682.03, a court can order the parties to arbitrate and stay related court proceedings. This makes the dispute resolution clause in your contract important to read early.

Contract cases arising in Hillsborough County may be heard in Florida state court in the Thirteenth Judicial Circuit, which covers the county. Depending on the dispute, they may also proceed in federal court in the Middle District of Florida, Tampa Division, or in arbitration.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Choosing a Lawyer for a Contract Dispute in Florida

If you have a contract dispute, contact Ayala Law PA to discuss which business matters your situation involves. Note the date of the alleged breach, the termination notice, the last day work or materials were supplied, any lien deadline, and any cure period in the contract. A cure period is time to fix a problem before a termination takes effect.

Be careful with written messages. Avoid admitting fault or making threats in emails or texts until you get advice. Keep messages factual and brief.

If a payment, termination notice, or lien deadline is pressing, you can book a case evaluation with Ayala Law PA or call (305) 570-2208 to describe your situation.

How long do I have to sue for breach of contract in Florida?

Time limits depend on the type of claim and the contract. Florida’s limitations statute, § 95.11, sets these periods, so a lawyer should check your specific deadline.

Does a Florida contract have to be in writing?

Not always. Some agreements, such as certain promises to pay another person’s debt and sales of goods priced at $500 or more, need a signed writing to be enforced.

Can an electronic signature make a contract binding?

Often, yes. Under Florida law, an electronic signature generally has the same effect as a written signature, unless another law says otherwise.

Do Florida contract disputes have to go to mediation?

Not always. Under § 44.102, a court must refer many damages cases to mediation when one party asks, but exceptions apply.

Attorney advertising.
