They may disagree about whether a deal was made, what it requires, or whether one side kept its word. For a Riverview business, the first steps often shape how the matter ends. This guide explains how Florida law looks at these disputes, the paths available, and what to do before you respond. It’s general information, not legal advice. Eduardo A. Maura is the lawyer responsible for the content of this page.

What Is a Contract Dispute Under Florida Law?

A contract dispute is a disagreement over whether an agreement was formed, what its terms require, or whether a party performed as promised. The disagreement may involve a sale, a construction job, a lease or a partnership deal.

These matters are civil business disputes. Depending on the agreement, they may proceed as business litigation in court or as arbitration. The contract itself often points to the right forum.

Written and oral agreements can both support a claim. A signed document is usually easier to prove, though. Emails, texts, invoices and payment records often fill in what a spoken deal left out.

Time matters. Florida’s filing deadlines appear in Fla. Stat. § 95.11, and the deadline depends on the type of claim and the facts. A clause that sets a shorter filing period than the statute allows is void under Fla. Stat. § 95.03. Confirm your deadline early, because waiting too long can bar a claim.

If a customer or subcontractor has stopped paying under your agreement, you may have a claim worth reviewing, and our team is ready to talk it through with you. A buyer may reject goods it says don’t match the order. A seller may say it was never paid.

Construction work creates its own friction. A subcontractor may say the general contractor owes money for finished work. A property owner may dispute a scope change that was never put in writing. These issues fall under construction litigation, where payment, scope and lien questions often overlap.

Commercial agreements carry risk, too. Leases, purchase and sale contracts, and partnership terms can go sideways when the language is unclear or one party stops performing. Shareholder and partnership disagreements often turn on what the written agreement actually says.

Many Riverview companies also sign agreements with customers and suppliers outside the area. Distance can make notice, delivery and payment terms harder to pin down. Vague terms tend to create the most room for argument.

How a Breach of Contract Claim Is Evaluated

Breach of contract disputes often turn on the specific terms of the agreement and the facts surrounding how it was performed.

Those questions drive the analysis. The failure must involve a real term, such as paying on time or delivering as specified. The loss must be something you can measure, like unpaid invoices or extra costs.

The wording of the agreement often shapes the next step. Notice clauses may require written notice and a chance to fix the problem. Termination clauses set how and when a deal can end. Dispute clauses may require mediation or arbitration before a lawsuit.

Documents do much of the work. Gather the signed agreement, amendments, emails, text messages, invoices, change orders and payment records. A clear timeline shows who did what, and when.

Sales of goods follow specific rules. Under Fla. Stat. § 672.201, a contract to sell goods for $500 or more generally must be backed by a signed record to be enforced, with limited exceptions.

Every dispute turns on its own facts. No evaluation can predict how a court or arbitrator will rule.

Negotiation, Mediation, Arbitration or Litigation: How the Options Compare

Most business contract disputes move through negotiation, mediation, arbitration or a lawsuit, and the agreement often decides which path applies.

Negotiation is direct talk between the parties. It works only when both sides are willing to move.

Mediation brings in a neutral facilitator to help the parties reach agreement. Under Fla. Stat. § 44.102, a court must, on one party’s request, refer many filed civil actions for money damages to mediation. The requesting party must be willing and able to pay the costs, or the costs must be split fairly. Under Fla. Stat. § 44.102(2)(a), certain categories of cases are excluded from mandatory mediation referral, including actions to collect a debt and cases where the parties agreed to binding arbitration. The statute lists other exclusions as well, so a reader should review the full list before assuming a case qualifies.

Arbitration puts the dispute before an arbitrator. Under Fla. Stat. § 682.02, a written agreement to arbitrate existing or future disputes is generally valid and enforceable. An arbitration can also pause the clock. Under Fla. Stat. § 95.051, a pending arbitration about the dispute tolls the limitations period, which means the time to sue is paused while it runs.

Litigation means a lawsuit in court. Under Fla. Stat. § 47.011, the general venue rule is that an action may be brought in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located. Exceptions apply, including actions against nonresidents, the separate venue rules for corporations under Fla. Stat. § 47.051, and contractual forum-selection clauses. For a Riverview dispute, Hillsborough County may fit, depending on those facts.

Cost depends on the agreement, the evidence and how far the dispute goes. Choose a path after you know what the contract requires.

What a Breach Can Mean for Your Business

Some contracts let a party terminate if the other side fails to fix a problem within a set time. Some disputes ask a court or arbitrator to order performance. Whether that fits depends on the agreement and the facts.

A breach often hits cash flow first. Unpaid invoices can strain payroll and supplier accounts. It can also affect bonding, lender covenants and relationships with other customers or subcontractors.

The other side may raise its own defenses or counterclaims. It might argue the terms were different, that you didn’t perform, or that you missed a required notice. If you accepted goods, Fla. Stat. § 672.607 generally requires you to notify the seller of a breach within a reasonable time, or you may be barred from any remedy. Your records need to answer these points, too.

Outcomes depend on the agreement, the evidence and the law that applies. No one can promise a particular result.

Steps to Take Before You Respond to the Other Side

Before you reply, preserve your records, read the agreement’s notice terms and write down the timeline.

Start with preservation. Keep every relevant text, email, project log, invoice and bank entry. Don’t delete anything, even messages that seem unhelpful. Deleted records can hurt your position more than the facts themselves.

Next, read the agreement closely. Look for notice requirements, cure periods, termination rights and dispute resolution clauses. Some clauses require steps before a lawsuit, and missing them can create problems.

Be careful with what you write. A short, angry message can become an admission. Avoid public posts or comments about the other party while the matter is open. Keep communications factual and brief.

Finally, build a dated list of payments, delays, change requests and promises. Anyone reviewing the matter will find it easier to follow, including a lawyer.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

How Ayala Law PA Handles Contract Disputes for Riverview Clients

Ayala Law PA’s only office is at 1646 W Snow Ave in Tampa, and Riverview clients are served from that location.

The firm has no office in Riverview or elsewhere in Hillsborough County.
