When a commercial deal stalls or a lien appears on a building, the next steps depend on exact wording and exact dates. Ayala Law PA focuses on business litigation, including contract disputes and real estate litigation for businesses and property investors. Clients in Tampa, Hillsborough County, Brandon, Riverview, Plant City, and Temple Terrace are served from the firm’s only office, at 1646 W Snow Ave in Tampa. This guide explains the common disputes, the rules that often decide what happens next, and what to gather before you reach out.

Commercial Real Estate Disputes That Reach Tampa Bay Courts

Most commercial property disputes fall into five groups. They include lease disputes, purchase contract disputes, construction lien foreclosure, title and boundary conflicts, and fights between co-owners. Each one can end up in a Florida court or in arbitration, depending on the agreement the parties signed.

Disputes usually escalate at a few predictable points. A deal stalls before closing. Rent stops coming in. A contractor records a lien against the building. Once that happens, deadlines begin to run, and options that were open a month earlier may narrow.

This practice centers on business matters, so the focus here is commercial property, not homes. Every dispute depends on three things. The first is the lease or contract itself. The second is the recorded documents, such as liens and deeds. The third is the timeline of notices and payments. Two buildings with similar problems can have different answers because their paperwork differs.

If a missed closing, unpaid rent, or a recorded lien is holding up your business, call (305) 570-2208 or request a case evaluation with our team. The Florida Statutes provide that this part applies to nonresidential tenancies and all tenancies not governed by part II of this chapter. That part applies to nonresidential tenancies, as Fla. Stat. § 83.001 states.

Holdover tenants create a specific problem. When a tenant refuses to give up possession at the end of the lease, the landlord may demand double the monthly rent. The statute sets that right. The lease terms and the facts decide how it plays out.

Landlords and tenants usually face three paths. The first is negotiating a cure, where the tenant fixes the problem within an agreed time. The second is a formal default notice, which the lease may require in a specific form. The third is a court filing for eviction or breach of contract. Each path carries different costs, timing, and risk.

Common disputes also include common area maintenance (CAM) charges that a tenant believes are too high. Read the lease for the notice address, the cure period, and the charge formula before you respond. Those terms often decide what each side can do next.

Construction Liens and Lien Foreclosure Across Tampa Bay

A construction lien recorded against a commercial property can make it hard to sell or refinance. The lien often stays until it is released or resolved in court. Owners, general contractors, and subcontractors each face the issue from a different side.

Florida’s lien rules have strict notice and recording steps. The Pinellas County lien law guide explains Notice of Commencement requirements, the risks a lien poses to an owner’s property, and how lien releases and waivers are obtained from contractors, subcontractors, and suppliers.

Time limits matter too. Florida law sets time limits for lawsuits involving the design, planning, or construction of an improvement to real property. That period generally runs from the earliest certificate of occupancy, certificate of completion, or abandonment of construction. For latent defects, the time runs from discovery, but an outer seven-year limit still applies.

A lien dispute often includes a breach of contract claim or a construction fraud claim. Review those claims together, because the contract and the lien facts usually overlap.

Purchase Agreements, Title Problems, and Property Ownership Conflicts

A purchase agreement dispute usually turns on what the contract says about closing dates, default, and earnest money. Earnest money is the deposit a buyer puts down to show it intends to close. Who keeps it after a failed closing depends on the contract language.

Title problems can surface after signing. An old easement, an unpaid tax, or a boundary error may appear during a title search. Those issues can change the deal or support a claim. The answer depends on what the contract promised and when the buyer learned of the defect.

Florida law requires certain interests in land, including terms longer than one year, to be created or transferred by a signed written instrument. Two subscribing witnesses must sign it. Leases are treated differently under that section.

A lis pendens is a notice recorded in county property records that a lawsuit may affect a property’s title. Filing one carries real risk, so the decision should follow a review of the claim and the contract. Co-owner, partnership, easement, and access disputes also arise in commercial settings. Remedies such as money damages, specific performance (a court order to complete the deal), or rescission (undoing the contract) depend on the contract language and the facts.

How Tampa Bay Matters Are Handled from the Tampa Office

Ayala Law PA handles Tampa Bay matters from its only office, at 1646 W Snow Ave in Tampa, Florida. Clients in Tampa, Hillsborough County, Brandon, Riverview, Plant City, and Temple Terrace are served from that Tampa office. The firm does not maintain an office in any of those places.

Where a lawsuit can be filed depends on venue rules. Under Fla. Stat. § 47.011, actions must be brought in the county where the defendant resides, where the cause of action accrued, or where the property in litigation is located. That section does not apply to actions against nonresidents. When the property sits in Hillsborough County, the property’s location is one basis for filing there.

Some commercial disputes belong in federal court. The Tampa Division of the U.S. District Court for the Middle District of Florida follows the court’s M.D. Fla. Local Rules. Any court appearance in Hillsborough County is planned around the needs of the case.

Courts also send many money damages cases to mediation. Fla. Stat. § 44.102 lists exceptions, including some landlord and tenant disputes, so the category of your claim matters.

Documents and Deadlines to Gather Before Your Case Evaluation

Gather your signed lease or purchase agreement, every amendment, and every notice you sent or received. Payment records, lien documents, title reports, and written correspondence help show what happened and when. Write a short timeline with dates for each notice, payment, and missed deadline.

Check the dispute clause early. Some contracts require mediation or arbitration before a lawsuit. Florida law generally enforces a written agreement to arbitrate, unless a ground exists to revoke the contract.

A contract cannot shorten the time to sue below the statute of limitations. A provision that does so is void. Many leases include an attorney’s fee clause.

Fee arrangements are discussed directly with the firm. This page does not set a price for a case evaluation, and it does not promise any particular result.

Not sure what your next step is?

Talk it through with our team — we can walk you through how a situation like yours is usually handled and what your options are.

Schedule a consultation

Schedule a consultation

Contact Ayala Law PA About Your Tampa Bay Property Dispute

Ayala Law PA can review your lease, contract, or lien paperwork and explain what those documents mean for your next step.
