Naturally, your first question is, “Can I win my appeal based on that mistake?”</span></p>
<p><span style="font-weight: 400;">That depends on more than whether an error occurred. It depends on whether the error was harmless. In Florida, and across the U.S., appellate courts follow what&#8217;s called the &#8220;</span><a href="https://www.law.cornell.edu/wex/harmless_error" target="_blank" rel="noopener"><b>Harmless Error Rule</b></a><span style="font-weight: 400;">.&#8221; In this blog post, we’ll break down what that means, how it affects appeals, and what you need to know if you’re considering challenging a judgment on appeal.</span></p>
<h4><b>What Does “Harmless Error” Mean in a Florida Appeal?</b></h4>
<p><span style="font-weight: 400;">A harmless error is a mistake made by the trial court that, even if wrong, did not affect the outcome of the case. In other words, appellate courts will not reverse a judgment just because the trial court made an error, unless that error actually impacted the final result.</span></p>
<h5><b>Florida’s Harmless Error Standard</b></h5>
<p><span style="font-weight: 400;">Florida law (</span><a href="https://flsenate.gov/Laws/Statutes/2019/0059.041" target="_blank" rel="noopener"><b>Section 59.041, Florida Statutes)</b></a><span style="font-weight: 400;"> requires that:</span></p>
<p><i><span style="font-weight: 400;">No judgment shall be set aside or reversed… unless… it shall appear that the error complained of has resulted in a miscarriage of justice.</span></i></p>
<p><span style="font-weight: 400;">This is what courts call a “prejudicial” error, the kind of error that matters.</span></p>
<h4><b>Can You Still Win Your Appeal If There Was a Mistake?</b></h4>
<p><span style="font-weight: 400;">The short answer: Yes, but only if you can show that the error made a difference.</span></p>
<p><span style="font-weight: 400;">If your appeal is based on a mistake the trial court made, you must prove that the error likely influenced the jury or the judge’s final decision. If it didn’t, the appellate court will label it &#8220;harmless,” and uphold the original ruling.</span></p>
<h5><b>What Are Common Examples of Harmless Errors?</b></h5>
<p><span style="font-weight: 400;">Here are some real-world examples where trial errors might </span><i><span style="font-weight: 400;">not</span></i><span style="font-weight: 400;"> lead to a reversal:</span></p>
<ul>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Improperly excluded evidence that didn’t really support your case anyway</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Minor procedural mistakes that didn’t impact the trial’s fairness</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">A witness’s hearsay statement that echoed what other witnesses already said</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Incorrect jury instructions, if the outcome would’ve been the same with the correct ones</span></li>
</ul>
<p><span style="font-weight: 400;">Even if your attorney objects during trial, and the judge rules incorrectly, it may not matter unless that error caused harm to your case.</span></p>
<h5><b>How Do Appellate Courts Decide If an Error Was Harmless?</b></h5>
<p><span style="font-weight: 400;">Here’s what appellate courts consider:</span></p>
<ol>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Was there enough other evidence to support the judgment?</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Would the outcome have been the same without the error?</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Did the mistake mislead or confuse the jury in a meaningful way?</span></li>
</ol>
<p><span style="font-weight: 400;">Appellate judges don’t retry your case or reweigh all the facts. They look at the legal record and evaluate whether a different result was reasonably probable.</span></p>
<h5><b>Why the Harmless Error Rule Exists</b></h5>
<p><span style="font-weight: 400;">It’s easy to think, “a mistake is a mistake—shouldn’t that be enough to win an appeal?”Not necessarily.</span></p>
<p><span style="font-weight: 400;">The appellate system is designed to correct important legal errors, not minor missteps. Courts want to avoid redoing trials unnecessarily. This rule helps avoid wasting time and resources on new trials unless the original one was fundamentally unfair.</span></p>
<h4><b>When Is an Error Serious Enough to Win an Appeal?</b></h4>
<p><span style="font-weight: 400;">If the error:</span></p>
<ul>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Prevented you from presenting key evidence</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Violated your due process rights</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Affected a jury verdict</span></li>
<li style="font-weight: 400;" aria-level="1"><span style="font-weight: 400;">Changed the judge’s ruling on a critical legal issue</span></li>
</ul>
<p><span style="font-weight: 400;">…it may be serious enough to get a reversal.</span></p>

<p>The appeal arose after the lower court granted <a href="https://www.lawayala.com/criteria-for-attorneys-fees-costs/"><strong>attorneys&#8217; fees</strong></a> to the association following a summary judgment ruling against our client in a <a href="https://www.lawayala.com/understanding-floridas-towing-laws-legal-steps-for-victims-of-illegal-vehicle-sales/"><strong>towing-related dispute</strong></a>. Our team argued that there was no legal basis for the fee award because the underlying claim was not one for enforcement of a contractual right under the community’s governing documents, but rather a statutory claim regarding improper towing.</p>
<p>The appellate court agreed, concluding that the association was not entitled to attorneys’ fees under its recorded declaration. The court found that the litigation did not constitute enforcement of the declaration’s restrictions and that the fee provision did not apply to the nature of the underlying dispute, which was governed by <a href="http://www.leg.state.fl.us/Statutes/index.cfm?App_mode=Display_Statute&amp;URL=0700-0799/0715/Sections/0715.07.html" target="_blank" rel="noopener"><strong>Florida Statute § 715.07</strong></a>—not the association’s governing documents.</p>
<p>This decision reinforces the principle that attorneys’ fee provisions in recorded declarations must be strictly construed and only apply when litigation arises directly from or enforces the contractual terms they govern.</p>
<p>We commend the efforts of our litigation team on this result. The ruling not only protects our client from an unwarranted financial burden but also helps clarify the scope of attorneys’ fee entitlement in community association disputes across Florida.</p>

<p style="font-weight: 400;">In the United States, a lawsuit doesn&#8217;t begin until the defendant has been “served with process.” Usually called “service of process,” “service,” “process,” or “personal service,” this is the official procedure used to notify a defendant of the lawsuit.</p>
<p style="font-weight: 400;">“The general rule in Florida is that a defendant must be personally served.” <em><a href="https://www.courtlistener.com/opinion/4534406/societe-hellin-sa-and-francisco-morillo-v-valley-commercial-capital/" target="_blank" rel="noopener">Societe Hellin, S.A. v. Valley Commer</a>. Cap., LLC</em>, 254 So. 3d 1018, 1020 (Fla. 4th DCA 2018). When courts speak of “personal service,” it generally means that the lawsuit has to physically come into your hands. In fact, “[p]roper service of process is indispensable for the court to obtain personal jurisdiction over a defendant.” <a href="https://casetext.com/case/modway-inc-v-oj-commerce-llc" target="_blank" rel="noopener"><em>Modway, Inc. v. OJ Com., LLC</em></a>, 331 So. 3d 723, 726 (Fla. 4th DCA 2021).</p>
<h4 class="p1"><b>What is Substitute Service &amp; When is it Necessary?</b></h4>
<p style="font-weight: 400;">So, what happens when you can’t find the business you&#8217;re suing? Well, that’s when substitute service comes into play. In short, substitute service is service on the Secretary of State after reasonable efforts to serve the entity.</p>
<p style="font-weight: 400;">Florida Statutes section 48.062 describes the process for substitute service. Section (2) states that:</p>
<p style="font-weight: 400;">[i]f service cannot be made on a registered agent of the limited liability company because of failure to comply with chapter 605, or because the limited liability company does not have a registered agent, <em>or if its registered agent cannot with reasonable diligence be served</em>, process against the limited liability company . . . may be served:</p>
<p style="font-weight: 400;">(a)   On a member of a member-managed limited liability company</p>
<p style="font-weight: 400;">(b)  On a manager of a manager-managed limited liability company; or</p>
<p style="font-weight: 400;">(c)   If a member or manager is not available during regular business hours to accept service on behalf of the limited liability company he, she, or it may designate an employee of the limited liability company to accept such service. After one attempt to serve a member, manager, or designated employee has been made, process may be served on the person in charge of the limited liability company during regular business hours.</p>
<p style="font-weight: 400;">(3) If, after reasonable diligence, service of process cannot be completed under subsection (1) [upon the Registered Agent] or subsection (2), service of <strong>process may be effected by service upon the Secretary of State</strong> as agent of the limited liability company [. . .].</p>

<h4>Florida Statutes 605.0117</h4>
<p style="font-weight: 400;">Similarly, Florida Statutes section 605.0117 provides in pertinent part:</p>
<p style="font-weight: 400;">(1)  A limited liability company or registered foreign limited liability company may be served with process required or authorized by law by serving on its registered agent.</p>
<p style="font-weight: 400;">(2)  If a limited liability company or registered foreign limited liability company ceases to have a registered agent or if its registered agent cannot with reasonable diligence be served, the process required or permitted by law may instead be served:</p>
<p style="font-weight: 400;">(a)   On a member of a member-managed limited liability company or registered foreign limited liability company; or</p>
<p style="font-weight: 400;">(b) On a manager of a manager-managed limited liability company or registered foreign limited liability company.</p>
<p style="font-weight: 400;">(3)  If the process cannot be served on a limited liability company or registered foreign limited liability company pursuant to subsection (1) or subsection (2), <em>the process may be served on the secretary of state as an agent of the company</em>.</p>
<p style="font-weight: 400;">(4)  Service of process on the secretary of state may be made by delivering to and leaving with the department duplicate copies of the process.</p>
<p style="font-weight: 400;">Fla. Stat. § 605.0117(1)-(4) (2020) (emphasis added).</p>
<h4 class="p1"><b>Consequences of Not Keeping Information Up-to-Date</b></h4>
<p style="font-weight: 400;">As you can see, if you hide from service, or if your entity hasn&#8217;t been diligent in naming a registered agent to accept service, you have appointed the Florida Secretary of State as an agent to accept substitute service. This is made possible by you simply owning a company in Florida. The Secretary of State, assuming everything is filed properly, will accept service, and won&#8217;t necessarily notify your business by means different to the Plaintiff’s.</p>
<p style="font-weight: 400;">Therefore, it&#8217;s extremely important to update your address and registered agent information on <a href="http://www.sunbiz.org" target="_blank" rel="noopener">the Department of State’s website</a>. This is so that in the event of a lawsuit, your company is notified directly. Not knowing of a legal action can quickly generate a default against your company. A default can be difficult to undo, and could have catastrophic financial consequences for your business.</p>

<p style="font-weight: 400;"><a href="https://casetext.com/rule/florida-court-rules/florida-rules-of-civil-procedure/rules/rule-1310-depositions-upon-oral-examination#:~:text=1.310,-Download&amp;text=Rule%201.310%20%2D%20DEPOSITIONS%20UPON%20ORAL%20EXAMINATION%20(a)When%20Depositions,by%20deposition%20upon%20oral%20examination." target="_blank" rel="noopener">The Florida Rule of Civil Procedure 1.310</a> states that “[a] deposition may be taken by communication technology, as that term is defined in the Florida Rule of General Practice and Judicial Administration 2.530, if stipulated by the parties or if ordered by the court on its own motion, or on motion of a party.” Fla. R. Civ. P. 1.310(b)(7).</p>
<p style="font-weight: 400;">Pursuant to Rule 2.530, the Court “may authorize the use of communication technology for the presentation of testimony or for other participation in a proceeding upon the written motion of a party.” Fla. R. Gen. Prac. &amp; Jud. Admin. 2.530(b).</p>
<p style="font-weight: 400;">In determining whether to authorize the use of communication technology, the Court may consider “the resources of the parties,” “the geographic location of the witness,” and “the cost and inconvenience in requiring the physical presence of the witness.” Fla. R. Gen. Prac. &amp; Jud. Admin. 2.530(b)(2)(A).</p>
<h4>Depositions in Florida: Where Must They Take Place?</h4>
<p style="font-weight: 400;">In general, “a person may only be required to attend a deposition in the county where he or she resides, is employed, or transacts business in person.” <a href="https://casetext.com/case/us-bank-natlassn-v-williams-1" target="_blank" rel="noopener"><em>U.S. Bank, Nat’l Ass’n v. Williamson</em></a>, 273 So. 3d 190, 191-92 (Fla. 5th DCA 2019). “A plaintiff is generally required to be deposed in the forum where the action is pending.” <em>Fortune Ins. Co. v. Santelli</em>, 621 So. 2d 546, 547 (Fla. 3d DCA 1993). On the other hand, “[a] defendant will not be required to travel a great distance and incur substantial expenses to be deposed by the plaintiff, unless the defendant is seeking affirmative relief.” <a href="https://caselaw.findlaw.com/court/fl-district-court-of-appeal/1629823.html" target="_blank" rel="noopener"><em>Dan Euser Waterarchitecture, Inc. v. City of Miami Beach</em></a>, 112 So. 3d 683, 683 (Fla. 3d DCA 2013). Instead, “the deposition of a representative of a corporate defendant is ordinarily taken at the corporation’s principal place of business.” <em>Santelli</em>, 621 So. 2d at 547.</p>
<p style="font-weight: 400;">Presented with this situation, the <a href="https://ballotpedia.org/Florida_First_District_Court_of_Appeal#:~:text=The%20Florida%20First%20District%20Court%20of%20Appeal%20is%20one%20of,oral%20arguments%20in%20other%20counties." target="_blank" rel="noopener">First District Court of Appeal</a> refuses to compel a plaintiff&#8217;s in-person deposition, explaining, &#8220;We certainly understand the logic of FHP’s argument. It is absolutely correct that a plaintiff is generally required to be deposed in the forum where the action is pending. After all, because Mr. Bejarano chose to file a lawsuit in Florida, it stands to reason that he may reasonably be required to appear there for the taking of his deposition. But the law is not absolute on this point. Instead, it gives the trial court discretion to grant protective orders for good cause shown to protect a party from undue burden or expense.&#8221;<a href="https://casetext.com/case/fla-highway-patrol-v-bejarano" target="_blank" rel="noopener"><em>Fla. High. Patrol v. Bejarano</em></a>, 137 So. 3d 619, 621-22 (Fla. 1st DCA 2014) (internal citations and quotations omitted).</p>
<p style="font-weight: 400;">In <em>Bejarano</em>, even though the deposition was not “completely prohibitive” for the plaintiff&#8217;s time, or cost-wise, the court concluded that accommodating his request for a video conference deposition wasn&#8217;t an abuse of discretion. <em>Id.</em> at 622. The court also noted no prejudice on the party seeking to compel the in-person deposition, stating it could still conduct the deposition “from its choice of locale, using a video conferencing company of its own choosing.” <em>Id.</em> at 621.</p>
<h4>Video Conference Depositions: When are They Favored by the Law?</h4>
<p style="font-weight: 400;">As seen, the law favors taking video testimonies when the party seeking the testimony is trying to force the witness to travel a great distance. This is not to say that there won’t be exceptions, but as a general matter, it appears that you should be able to defeat a litigant’s motion to compel your testimony in-person, when the in-person would require you to travel far.</p>

<p style="font-weight: 400;">In the United States, and most jurisdictions, a lawsuit against a particular defendant does not begin until that defendant has been “served with process.” Usually called “service of process,” “service”, “Process,” or “personal service,” is the official procedure used to notify a defendant of the <a href="https://en.wikipedia.org/wiki/Lawsuit" target="_blank" rel="noopener">lawsuit</a>.</p>
<p style="font-weight: 400;">“The general rule in Florida is that a defendant must be personally served.” <em>Societe Hellin, S.A. v. Valley Commer. Cap., LLC</em>, 254 So. 3d 1018, 1020 (Fla. 4th DCA 2018). When courts speak of “personal service” it generally means that the lawsuit has to physically come to your hands. In fact, “[p]roper service of process is indispensable for the court to obtain personal jurisdiction over a defendant.” <em>Modway, Inc. v. OJ Com., LLC</em>, 331 So. 3d 723, 726 (Fla. 4th DCA 2021).</p>
<p style="font-weight: 400;">If proper service of process is not effected, “[a] defendant may question the trial court’s jurisdiction over [him] due to insufficient service of process via a motion to quash.” <em>Empire Beauty Salon v. Commer. Loan Sols. IV, LLC</em>, 159 So. 3d 136, 138 (Fla. 5th DCA 2014).</p>
<p style="font-weight: 400;">The rules regarding service of process are generally strict. Courts, “[a]bsent strict compliance with the statutes governing service of process, . . . lack[] personal jurisdiction over [a] defendant.” <em>Anthony v. Gary J. Rotella &amp; Assocs., P.A.</em>, 906 So. 2d 1205, 1207 (Fla. 4th DCA 2005).</p>
<p style="font-weight: 400;">If you’ve been given a legal document in your hands by a gentleman with a badge, you were likely served with process. You could have been sued or subpoenaed to provide testimony or documents. <p>Ayala filed a lawsuit on behalf of its client against <a href="https://en.wikipedia.org/wiki/Thermo_Fisher_Scientific" target="_blank" rel="noopener">Thermo Fisher Scientific Inc</a>., a large manufacturer of scientific devices including the <em>Ion Torrent Genexus Integrated Sequencer</em>(“Genexus Instrument”) sold to Ayala&#8217;s client&#8211;the Plaintiff.</p>
<p>As stated in the Complaint, Thermo Fisher describes the Genexus Instrument as “the first turnkey next-generation sequencing (NGS) solution that automates the specimen-to-report workflow and can deliver results in a single day.” Complaint, ¶ 12.</p>
<p>Thermo Fisher, relates the Complaint, “represented to [the plaintiff] that the Genexus Instrument was fully capable of both reliably sequencing data and interpreting the data it produces.” Complaint, ¶ 14.</p>
<p>However, Genexus Instrument had a number of malfunctions, including, the complaint states, that it “displayed an unknown and unidentified camera and/or sensor issue, where it would request reagents be put in/taken out in a random order—as opposed to systematically—and also would misidentify reagents as used and/or expired when they were not.” Complaint, ¶ 21</p>
<p>The Complaint contains five causes of action including for breach of contract, breach of express warranty, breach of implied warranty of merchantability, and breach of implied warranty of fitness for a particular purpose.</p>

<p class="p1">Out of the many things I tell small business owners, when they ask me how to protect their businesses, separation is high in my list of recommendations.</p>
<p class="p1">But what do I mean by <i>separation</i>? What I mean is, separate your business from yourself or your family or your other businesses.</p>
<p class="p1">It is quite common that small business owners are the managers of the business or are actively involved in the operations of the business. This carries with it the temptation to mix business activities with personal activities.</p>
<p class="p1">However, in order to extract the most benefits out of the business’ legal structure, you (as owner) need to be separate and be apart from your business.</p>
<p class="p1">For example, there is always the temptation not to pay yourself a salary because the cash flows are low, or to use the company credit card for personal expenses, or to run your business from your home or your other business’ office. Mixing things, while economical and costs saving, can have an adverse impact when, god forbid, your business gets in legal trouble. A plaintiff might want to go after your business <i>and you</i>, or <i>your other business, </i>and may argue to a court that, since you treat the business as your own personal purse, the business and you are one and the same. This is what we called the “alter ego” or “piercing the corporate veil” (PCV) theory. PCV is, as the name suggest, to take out the corporate mask of the entity and have the owners of it be liable as well.</p>
<p class="p1">Under this legal theory, a litigant will argue that the company structure is just a facade of you for the purpose of doing improper actions. If you, however, keep a good separation from your business, it will be much harder for people targeting your business to reach your personal assets; in the hypothetical situation that your business runs into legal trouble.</p>
<p class="p1">Absolute separation is not always viable, however. For example, most business owners use their single vehicle for business activities too, and paying gas with the company card is reasonable and will carry little risk. But going to Macy’s to shop, or on vacation to Disney, with the company card, will likely be a situation where the commingling of accounts is a very bad idea.</p>
